Common use of Judicial or Administrative Proceedings Clause in Contracts

Judicial or Administrative Proceedings. Either party may terminate the Agreement, effective immediately, if (i) the other party is named as a defendant in a criminal proceeding for a violation of HIPAA, the HIPAA Regulations, the HITECH Act, or other security or privacy laws or (ii) a finding or stipulation that the other party has violated any standard or requirement of HIPAA, the HIPAA Regulations, the HITECH Act or other security or privacy laws is made in any administrative or civil proceeding in which the party has been joined.

Judicial or Administrative Proceedings. Either party may terminate the this Agreement, effective immediately, if (i) the other party is named as a defendant in a criminal proceeding for a violation of HIPAA, the HIPAA Regulations, the HITECH Act, or other security or privacy laws or (ii) a finding or stipulation that the other party has violated any standard or requirement of HIPAA, the HIPAA Regulations, the HITECH Act or other security or privacy laws is made in any administrative or civil proceeding in which the party has been joined.

Either party may terminate the Agreement, effective immediately, if (iA) the other party is named as a defendant found guilty or pleads nolo contendere in a criminal proceeding for a violation of HIPAA, the HIPAA Regulations, the HITECH Act, Regulations or other security or privacy laws or (iiB) a finding or stipulation that the other party has violated any standard or requirement of HIPAA, the HIPAA Regulations, the HITECH Act Regulations or other security or privacy laws is made in any administrative or civil proceeding in which the party has been joined.

Either party may terminate this Agreement by written notice to the Agreementother party, effective immediately, if (i) the other party is named as a defendant in a criminal proceeding for a violation of HIPAA, the HIPAA RegulationsPrivacy Rule, the HITECH ActSecurity Rule, or other security or privacy laws laws, or (ii) a finding or stipulation that the other party has violated any standard or requirement of HIPAA, the HIPAA RegulationsPrivacy Rule, the HITECH Act Security Rule, or any other security or privacy laws is made in any administrative or civil proceeding in which the party has been joined.

Either party Party may terminate the this Agreement, effective immediately, if if: (i) the other party Party is named as a defendant in a criminal proceeding for a violation of HIPAA, the HIPAA Regulations, the HITECH Act, or other security or privacy laws Privacy Rule; or (ii) a finding or stipulation that the other party Party has violated any standard or requirement of HIPAA, the HIPAA Regulations, the HITECH Act or other security or privacy laws Applicable Privacy and Security Laws is made in any administrative or civil proceeding in which the party Party has been joined.

Either party may terminate the Agreement, this Agreement effective immediately, immediately if (i) the other either party is named names as a defendant in a criminal proceeding for a violation of HIPAA, the HIPAA Regulations, the HITECH Act, or other security or privacy laws or (ii) a finding or stipulation that the other party has violated any standard or requirement of HIPAA, under HIPAA or the HIPAA Regulations, the HITECH Act or other security or privacy laws is made in any administrative or civil proceeding in which the party has been joined.. d.
