Judgements if a judgment or decree for payment of money due in an amount of $5,000 or more (in any single instance or in the aggregate for all such judgments and decrees against each of the Obligors) shall have been obtained or entered against any Obligor (except in the case of any such judgment or decree in respect of which recourse is limited to property which is not subject to the Security hereunder) and such judgment or decree shall not have been, and remain, vacated, discharged or stayed pending appeal within the applicable appeal period;
Judgements. Any order, judgement or decree is entered by any court of competent jurisdiction appointing a receiver, trustee or liquidator of Sublessee or a substantial part of its property or if a substantial part of its property is to be sequestered. If instituted by Sublessee or done by the Sublessee, the same will be an immediate Event of Default. If instituted by another person, the same will be an Event of Default if not dismissed, remedied or relinquished within twenty (20) days; or
Judgements. One or more enforceable judgments for the payment of money in an aggregate amount in excess of $35,000,000 (to the extent not covered by insurance as to which the insurer has been notified of such judgment or order and has not denied its obligation) shall be rendered against any Loan Party or any combination thereof and the same shall remain unpaid, undischarged, unvacated, unbonded or unstayed pending appeal for a period of 60 consecutive days;
Judgements. To the extent permitted by applicable law, if any judgment or order expressed in a currency other than the Contractual Currency is rendered (i) for the payment of any amount owing in respect of this Agreement, (ii) for the payment of any amount relating to any early termination in respect of this Agreement or (iii) in respect of a judgment or order of another court for the payment of any amount described in (i) or (ii) above, the party seeking recovery, after recovery in full of the aggregate amount to which such party is entitled pursuant to the judgment or order, will be entitled to receive immediately from the other party the amount of any shortfall of the Contractual Currency received by such party as a consequence of sums paid in such other currency and will refund promptly to the other party any excess of the Contractual Currency received by such party as a consequence of sums paid in such other currency if such shortfall or such excess arises or results from any variation between the rate of exchange at which the Contractual Currency is converted into the currency of the judgment or order for the purposes of such judgment or order and the rate of exchange at which such party is able, acting in a reasonable manner and in good faith in converting the currency received into the Contractual Currency, to purchase the Contractual Currency with the amount of the currency of the judgment or order actually received by such party. The term "rate of exchange" includes, without limitation, any premiums and costs of exchange payable in connection with the purchase of or conversion into the Contractual Currency.
Judgements. One or more judgements, decrees, arbitration awards or rulings shall be entered against the Borrower and/or the Guarantor involving in the aggregate a liability (not paid or in the opinion of the applicable insurer, fully covered by insurance) of $100,000 or more and all such judgements, decrees, awards and rulings shall not have been vacated, paid, discharged, stayed or bonded pending appeal within sixty(60) days from the entry thereof; or
Judgements. One or more judgments or decrees shall be entered against the Borrower or any of its Subsidiaries involving in the aggregate for the Borrower and its Subsidiaries a liability (not paid or fully covered by insurance) of $250,000 or more, and all such judgments or decrees shall not have been vacated, discharged or stayed or bonded pending appeal within 30 days after the entry thereof; or
Judgements. If a judgment or judgments for the payment of money in an amount, individually or in the aggregate, of at least Two Hundred Thousand Dollars ($200,000) shall be rendered against Borrower and shall remain unsatisfied and unstayed for a period of ten (10) days (provided that no Credit Extensions will be made prior to the satisfaction or stay of such judgment);
Judgements. Any judgement or judgements against Debtor (other than any judgement for which Debtor is fully insured) shall remain unpaid, unstayed on appeal, undischarged, unbonded, or undismissed for a period of thirty (30) days.
Judgements. One or more judgements for the payment of money in an aggregated amount in excess of USD 75,000,000 (or its equivalent in any other currency or currencies) (except to the extent covered by insurance as to which the insurer acknowledges such coverage in writing) are rendered against Wabco Holdings, any Obligor, Material Subsidiary or combination thereof and the same remains undischarged for a period of 60 consecutive days during which no execution or legal action is taken to attach or seize any asset of any of these entities.
Judgements. A final judgment or order for the payment of ---------- money is rendered against Borrower or any Subsidiary in the amount of $100,000 or more (exclusive of amounts covered by insurance) and either (x) enforcement proceedings shall have been commenced by any creditor upon such judgment or order, or (y) a stay of enforcement of such judgment or order, by reason of pending appeal or otherwise, shall not be in effect for any period of thirty (30) consecutive days.
