Issuance of the Senior Subordinated Notes. On or prior to the Closing Date, (i) the Borrower shall have entered into the Senior Subordinated Note Indenture on terms that are satisfactory to the Administrative Agent, (ii) the Borrower shall have issued, executed and delivered the Senior Subordinated Notes, (iii) the Administrative Agent shall have received true and correct copies, certified as such by an appropriate officer of the Borrower, of the Senior Subordinated Note Indenture and each of the Senior Subordinated Notes as originally executed and delivered, each of which shall be in full force and effect, (iv) the Borrower shall have received gross cash proceeds of at least $235,000,000 from the issuance of the Senior Subordinated Notes (it being understood that such cash proceeds shall include all amounts directly applied to pay underwriting and placement commissions and discounts and related fees) and (v) the Borrower shall have utilized the full amount of such cash proceeds to make payments owing in connection with the Transaction prior to or concurrently with the utilization of any proceeds of the Loans for such purpose.

Issuance of the Senior Subordinated Notes. The Borrower shall have duly authorized, executed and delivered the Senior Subordinated Indenture, the Senior Subordinated Notes and all other certificates, documents and agreements entered into in connection therewith, and the Administrative Agent shall have received true and correct copies of the executed Senior Subordinated Indenture, the Senior Subordinated Notes and all other certificates, documents, agreements, consents and opinion letters (together with, to the extent available, reliance letters from the givers of such opinion letters, permitting the Agents and the Lenders to rely upon the opinions contained in such opinion letters) furnished pursuant to or in connection therewith, the terms and conditions of which shall be satisfactory in all respects to the Agents and the Required Lenders. The Borrower shall have issued at least $75,000,000 of the Senior Subordinated Notes pursuant to the Senior Subordinated Indenture and shall have received at least $75,000,000 in gross cash proceeds therefrom.
Issuance of the Senior Subordinated Notes. At the time of the issuance thereof, the Senior Subordinated Notes shall have been issued in all material respects in accordance with the terms of the Senior Subordinated Note Documents and all applicable laws. At the time of the issuance thereof, all consents, approvals of and permits for, and filings and registrations with, and all other actions in respect of, all governmental agencies, authorities or instrumentalities required in order to issue the Senior Subordinated Notes have been (or will, within the time frame required, be) obtained, given, filed or taken and are or will be in full force and effect (or effective judicial relief with respect thereto has been obtained). Additionally, there does not exist any judgment, order or injunction prohibiting or imposing material adverse conditions upon the issuance of the Senior Subordinated Notes or the performance by Acquisition Corp. or any of its Subsidiaries of their obligations under the Senior Subordinated Note Documents. All actions taken by the Borrower or any of its Subsidiaries pursuant to or in furtherance of the issuance of Senior Subordinated Notes have been taken in all material respects in compliance with the Senior Subordinated Note Documents and all applicable laws.

  • Senior Subordinated Notes The subordination provisions contained in the Senior Subordinated Notes and in the other Senior Subordinated Note Documents are enforceable against the Borrower and the holders of the Senior Subordinated Notes, and all Obligations are within the definition of "Senior Debt" included in such subordination provisions.

  • No Senior Subordinated Debt The Company will not incur, create, issue, assume, guarantee or otherwise become liable for any Indebtedness that is subordinate or junior in right of payment to any Senior Debt of the Company and senior in any respect in right of payment to the Notes.   • Issuance of the Securities The Securities are duly authorized and, when issued and paid for in accordance with the applicable Transaction Documents, will be duly and validly issued, fully paid and nonassessable, free and clear of all Liens imposed by the Company other than restrictions on transfer provided for in the Transaction Documents. The Underlying Shares, when issued in accordance with the terms of the Transaction Documents, will be validly issued, fully paid and nonassessable, free and clear of all Liens imposed by the Company other than restrictions on transfer provided for in the Transaction Documents. The Company has reserved from its duly authorized capital stock a number of shares of Common Stock for issuance of the Underlying Shares at least equal to the Required Minimum on the date hereof.
