Issuance of the Merger Consideration. Assuming the receipt by Parent of an executed Certification and Agreement in the form attached hereto as Exhibit E from each of the Senior Preferred Shareholders and the accuracy of the representations and warranties contained therein, the issuance of the Merger Consideration will be exempt from the registration requirements of the Securities Act of 1933, as amended, subject to the timely filing of a Form D pursuant to Securities and Exchange Commission Regulation D.
