Investors Deliverables. Each Investor shall have delivered its Investors Deliverables in accordance with Section 2.2(b); and
Investors Deliverables. Each Investor shall have delivered the Purchase Price payable by it in accordance with Section 2.2(b); and
Investors Deliverables. (a) On or before 1:00 p.m. (Eastern time) on the Closing Date, Investor shall deliver in escrow to Escrow Agent the full amount of the Balance of the Consideration, as adjusted pursuant to this Agreement, in immediately available wire transferred funds.
Investors Deliverables. Each Investor at the Closing shall have delivered its Investors Deliverables in accordance with Section 2(b)(ii).
Investors Deliverables. Subject to the terms and conditions of this Agreement, at the Closing, Investor shall execute and deliver (or cause to be executed and delivered) each of the following documents (where the execution and delivery of the documents is contemplated), deliver (or cause to be delivered) each of the following items (where the delivery of the items is contemplated) and take (or cause to be taken) each of the following actions (where the taking of action is contemplated):
Investors Deliverables. On the Closing Date, ----------------------- as a condition to Company's obligations under Section 4.1 hereof, the Investors will deliver to the Company the Purchase Price for the Series E Shares as provided under Section 1.2 hereof.
