Common use of Investments Clause in Contracts

Investments. The Subadviser is hereby authorized and directed and hereby agrees, subject to the stated investment policies and restrictions of the Fund as set forth in the Fund’s prospectus and statement of additional information as currently in effect and, as soon as practical after the Trust, the Fund or the Adviser notifies the Subadviser thereof, as supplemented or amended from time to time (collectively referred to hereinafter as the “Prospectus”) and subject to the directions of the Adviser and the Trust’s Board of Trustees, to monitor on a continuous basis the performance of the Subadviser Assets and to conduct a continuous program of investment, evaluation and, if appropriate, sale and reinvestment of the Subadviser Assets. The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s activities under this Agreement, including, without limitation, providing information concerning the Fund, its funds available or to become available for investment, and generally as to the conditions of the Fund’s or the Trust’s affairs.

Investments. The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s activities under this Agreement, including, without limitation, providing information concerning the Fund, its funds available available, or to become available available, for investment, investment and generally as to the conditions of the Fund’s or the Trust’s affairs.

Investments. The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s activities under this Agreement, including, without limitation, providing information concerning the each Fund, its funds available available, or to become available available, for investment, investment and generally as to the conditions of the Fund’s or the Trust’s affairs.

The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s 's activities under this Agreement, including, without limitation, providing information concerning the a Fund, its their funds available available, or to become available available, for investment, investment and generally as to the conditions of the a Fund’s 's or the Trust’s 's affairs.

Investments. The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s activities under this Agreement, including, without limitation, providing information concerning the Fund, its funds available or to become cash flow and cash available for investment, investment and generally as to the conditions of the Fund’s affairs. The Subadviser will also be responsible, in cooperation with the Adviser, for the management of any form of leverage associated with the Subadviser Assets, including activities associated with the issuance of tender option bonds (TOBs) or the Trust’s affairssimilar instruments.

Investments. The Subadviser is hereby authorized and directed and hereby agrees, subject to the stated investment policies and restrictions of the Fund as set forth in the Fund’s 's prospectus and statement of additional information as currently in effect and, as soon as practical after the Trust, the Fund or the Adviser notifies the Subadviser thereof, as supplemented or amended from time to time (collectively referred to hereinafter as the “"Prospectus”") and subject to the directions of the Adviser and the Trust’s 's Board of Trustees, to monitor on a continuous basis the performance of the Subadviser Assets and to conduct a continuous program of investment, evaluation and, if appropriate, sale and reinvestment of the Subadviser Assets. The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s 's activities under this Agreement, including, without limitation, providing information concerning the Fund, its funds available or to become available for investment, and generally as to the conditions of the Fund’s 's or the Trust’s 's affairs.

The Subadviser is hereby authorized and directed and hereby agrees, subject to the stated investment policies and restrictions of the Fund as set forth in the Fund’s prospectus (“Prospectus”) and statement of additional information (“SAI”) as currently in effect and, as soon as practical after the Trust, the Fund or the Adviser notifies the Subadviser thereofthereof in writing, as supplemented or amended from time to time (collectively referred to hereinafter as the “Prospectus”) and subject to the directions of the Adviser and the TrustFund’s Board of Trustees, to monitor on a continuous basis the performance of the Subadviser Assets and to conduct a continuous program of investment, evaluation and, if the Subadviser deems appropriate, sale and reinvestment of the Subadviser Assets. The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s activities under this Agreement, including, without limitation, providing information concerning the Fund, its funds available available, or to become available available, for investment, investment and generally as to the conditions of the Fund’s or the Trust’s affairs.

The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s its activities under this Agreement, including, without limitation, providing information concerning the a Fund, its funds available available, or to become available available, for investment, investment and generally as to the conditions of the a Fund’s 's or the Trust’s 's affairs.

Investments. The Subadviser is authorized, in its sole discretion and without prior consultation with the Adviser, to buy, sell, lend and otherwise trade in any stocks, bonds and other securities and investment instruments on behalf of the Subadviser Assets, in accordance with each Fund's investment objective and policies. The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s 's activities under this Agreement, including, without limitation, providing information concerning the Fund, its funds available available, or to become available available, for investment, investment and generally as to the conditions of the Fund’s 's or the Trust’s 's affairs.

The Subadviser is hereby authorized and directed and hereby agrees, subject to the stated investment policies and restrictions of the Fund Funds as set forth in the Fund’s Funds' prospectus and statement of additional information as currently in effect and, as soon as practical after the Trust, the Fund or the Adviser notifies the Subadviser thereof, and as supplemented or amended from time to time (collectively referred to hereinafter as the “"Prospectus”") and subject to the directions of the Adviser and the Trust’s 's Board of Trustees, to purchase, hold and sell investments for the Subadviser Assets and to monitor on a continuous basis the performance of the Subadviser Assets and to Assets. In providing these services, the Subadviser will conduct a continuous continual program of investment, evaluation and, if appropriate, sale and reinvestment of the Subadviser Assets. The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s 's activities under this Agreement, including, without limitation, providing information concerning the FundFunds, its their funds available available, or to become available available, for investment, investment and generally as to the conditions of the Fund’s Funds' or the Trust’s 's affairs.

Investments. The Subadviser is hereby authorized and directed and hereby agrees, subject to the stated investment policies and restrictions of the each Fund as set forth in the Fund’s Funds’ prospectus (“Prospectus”) and statement of additional information (“SAI”) as currently in effect and, as soon as practical after the Trust, the a Fund or the Adviser notifies the Subadviser in writing thereof, as supplemented or amended from time to time (collectively referred to hereinafter as the “Prospectus”) and subject to the written directions of the Adviser and the Trust’s Board of Trustees, to monitor on a continuous basis the performance of the Subadviser Assets and to conduct a continuous program of investment, evaluation and, if appropriate, sale and reinvestment of the Subadviser Assets. The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s activities under this Agreement, including, without limitation, providing information concerning the each Fund, its funds available available, or to become available available, for investment, investment and generally as to the conditions of the Fund’s or the Trust’s affairs.

In providing these services, the Subadviser will conduct a continuous continual program of investment, evaluation and, if appropriate, sale and reinvestment of the Subadviser Assets. The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s its activities under this Agreement, including, without limitation, providing information concerning the a Fund, its funds available available, or to become available available, for investment, investment and generally as to the conditions of the Fund’s 's or the Trust’s 's affairs.

The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s its activities under this Agreement, including, without limitation, providing information concerning the each Fund, its funds available available, or to become available available, for investment, investment and generally as to the conditions of the Fund’s or the Trust’s 's affairs.

The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s activities under this Agreement, including, without limitation, providing information concerning the Fund, its funds available or to become available for investment, and generally as to the conditions of the Fund’s or the Trust’s affairs.

The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s ’ s activities under this Agreement, including, without limitation, providing information concerning the each Fund, its funds available available, or to become available available, for investment, investment and generally as to the conditions of the Fund’s or the Trust’s affairs.

Investments. The Subadviser is hereby authorized and directed and hereby agrees, subject to the stated investment policies and restrictions of the Fund as set forth in the Fund’s prospectus (“Prospectus”) and statement of additional information (“SAI”) as currently in effect and, as soon as practical after the Trust, the Fund or the Adviser notifies the Subadviser thereof, as supplemented or amended from time to time (collectively referred to hereinafter as the “Prospectus”) and subject to the directions of the Adviser and the Trust’s Board of Trustees, to monitor on a continuous basis the performance of the Subadviser Assets and to conduct a continuous program of investment, evaluation and, if appropriate, sale the allocation and reinvestment reallocation of the Subadviser Assets. The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s activities under this Agreement, including, without limitation, providing information concerning the Fund, its funds available available, or to become available available, for investment, investment and generally as to the conditions of the Fund’s or the Trust’s affairs.

Investments. The Subadviser is hereby authorized and directed and hereby agrees, subject to the stated investment policies and restrictions of the Fund Funds as set forth in the Fund’s Funds’ prospectus and statement of additional information as currently in effect and, as soon as practical after the Trust, the a Fund or the Adviser notifies the Subadviser thereof, as supplemented or amended from time to time (collectively referred to hereinafter as the “Prospectus”) and subject to the directions of the Adviser and the Trust’s Board of Trustees, to monitor on a continuous basis the performance of the Subadviser Assets and to conduct a continuous program of investment, evaluation and, if appropriate, sale and reinvestment of the Subadviser Assets. The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s activities under this Agreement, including, without limitation, providing information concerning the a Fund, its funds available available, or to become available available, for investment, investment and generally as to the conditions of the a Fund’s or the Trust’s affairs.

Investments. The Subadviser Sub-adviser is hereby authorized and directed and hereby agrees, subject to the stated investment policies and restrictions of the Fund as set forth in the Fund’s prospectus (“Prospectus”) and statement of additional information (“SAI”) as currently in effect and, as soon as practical after the Trust, the Fund or the Adviser notifies the Subadviser Sub-adviser thereof, as supplemented or amended from time to time (collectively referred to hereinafter as the “Prospectus”) and subject to the directions of the Adviser and the Trust’s Board of Trustees, to monitor on a continuous basis the performance of the Subadviser Sub-adviser Assets allocated to it and to conduct a continuous program of investment, evaluation and, if appropriate, sale and reinvestment of the Subadviser Sub-adviser Assets. The Adviser agrees to provide the Subadviser Sub-adviser with such assistance as may be reasonably requested by the Subadviser Sub-adviser in connection with the SubadviserSub-adviser’s activities under this Agreement, including, without limitation, providing information concerning the Fund, its funds available available, or to become available available, for investment, investment and generally as to the conditions of the Fund’s or the Trust’s affairs.

Investments. The Subadviser is hereby authorized and directed and hereby agrees, subject to the stated investment policies and restrictions of the Fund as set forth in the Fund’s prospectus and statement of additional information as currently in effect and, as soon as practical after the Trust, the Fund or the Adviser notifies the Subadviser thereof, as supplemented or amended from time to time (collectively referred to hereinafter as the “Prospectus”) and subject to the written directions (including email) of the Adviser and the Trust’s Board of Trustees, to monitor on a continuous basis the performance of the Subadviser Assets and to conduct a continuous program of investment, evaluation and, if appropriate, sale and reinvestment of the Subadviser Assets. The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s activities under this Agreement, including, without limitation, providing information concerning the Fund, its funds available or to become available for investment, and generally as to the conditions of the Fund’s or the Trust’s affairs.

Investments. The Subadviser is hereby authorized and directed and hereby agrees, subject to the stated investment policies and restrictions of the Fund as set forth in the Fund’s prospectus ("Prospectus") and statement of additional information ("SAI") as currently in effect and, as soon as practical after the Trust, the Fund or the Adviser notifies the Subadviser thereof, as supplemented or amended from time to time (collectively referred to hereinafter as the “Prospectus”) and subject to the directions of the Adviser and the Trust’s Board of TrusteesBoard, to monitor on a continuous basis the performance of the Subadviser Assets and to conduct a continuous program of investment, evaluation and, if appropriate, sale and reinvestment of the Subadviser Assets. The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s 's activities under this Agreement, including, without limitation, providing information concerning the Fund, its funds available available, or to become available available, for investment, investment and generally as to the conditions of the Fund’s or the Trust’s 's affairs.

Investments. The Subadviser is hereby authorized and directed and hereby agrees, subject to the stated investment policies and restrictions of the Fund as set forth in the Fund’s prospectus and statement of additional information as currently in effect and, as soon as practical after the Trust, the Fund or the Adviser notifies the Subadviser thereof, as supplemented or amended from time to time (collectively referred to hereinafter as the “Prospectus”) and subject to the directions of the Adviser and the Trust’s Board of Trustees, to monitor on a continuous basis the performance of the Subadviser Assets and to conduct a continuous program of investment, evaluation and, if appropriate, sale and reinvestment of the Subadviser Assets. The Subadviser is authorized, in its sole discretion and without prior consultation with the Adviser, to buy, sell, lend and otherwise trade in any stocks, bonds and other securities and investment instruments on behalf of the Subadviser Assets, in accordance with each Fund’s investment objective and policies. The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s activities under this Agreement, including, without limitation, providing information concerning the Fund, its funds available available, or to become available available, for investment, investment and generally as to the conditions of the Fund’s or the Trust’s affairs.

Investments. The Subadviser is hereby authorized and directed and hereby agrees, subject to the stated investment policies and restrictions of the Fund as set forth in the Fund’s 's prospectus and statement of additional information as currently in effect and, as soon as practical after the Trust, the Fund or the Adviser notifies the Subadviser thereof, and as supplemented or amended from time to time (collectively referred to hereinafter as the “"Prospectus”") and subject to the directions of the Adviser and the Trust’s 's Board of Trustees, to purchase, hold and sell investments for the Subadviser Assets and to monitor on a continuous basis the performance of such Subadviser Assets. In providing these services, the Subadviser Assets and to will conduct a continuous continual program of investment, evaluation and, if appropriate, sale and reinvestment of the Fund's Subadviser Assets. The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s its activities under this Agreement, including, without limitation, providing information concerning the Fund, its funds available available, or to become available available, for investment, investment and generally as to the conditions of the Fund’s or the Trust’s 's affairs.

Investments. The Subadviser is hereby authorized and directed and hereby agrees, subject to the stated investment policies and restrictions of the Fund as set forth in the that Fund’s 's prospectus and statement of additional information as currently in effect and, as soon as practical after the Trust, the Fund or the Adviser notifies the Subadviser thereof, and as supplemented or amended from time to time (collectively referred to hereinafter as the “"Prospectus”") and subject to the directions of the Adviser and the Trust’s 's Board of Trustees, to purchase, hold and sell investments for the Subadviser Assets and to monitor on a continuous basis the performance of the Subadviser Assets and to Assets. In providing these services, the Subadviser will conduct a continuous continual program of investment, evaluation and, if appropriate, sale and reinvestment of the Fund's Subadviser Assets. The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s its activities under this Agreement, including, without limitation, providing information concerning the Fund, its funds available available, or to become available available, for investment, investment and generally as to the conditions of the Fund’s or the Trust’s 's affairs.

Investments. The Subadviser is hereby authorized and directed and hereby agrees, subject to the stated investment policies and restrictions of the Fund as set forth in the Fund’s 's prospectus and statement of additional information as currently in effect and, as soon as practical after the Trust, the Fund or the Adviser notifies the Subadviser thereof, as supplemented or amended from time to time (collectively referred to hereinafter as the “"Prospectus”") and subject to the directions supervision of the Adviser and the Trust’s 's Board of Trustees, to monitor on a continuous basis the performance of the Subadviser Assets and to conduct a continuous program of investment, evaluation and, if appropriate, sale and reinvestment of the Subadviser Assets. The Subadviser is authorized, in its sole discretion and without prior consultation with the Adviser, to buy, sell, lend and otherwise trade in any stocks, bonds and other securities and investment instruments on behalf of the Subadviser Assets in pursuance of each Fund's investment objective and policies. The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s 's activities under this Agreement, including, without limitation, providing information concerning the Fund, its funds available available, or to become available available, for investment, investment and generally as to the conditions of the Fund’s 's or the Trust’s 's affairs.

Investments. The Subadviser is hereby authorized and directed and hereby agrees, subject to the stated investment policies and restrictions of the Fund as set forth in the Fund’s 's current prospectus and statement of additional information as currently in effect and, as soon as practical after the Trust, the Fund or the Adviser notifies the Subadviser thereof, and as supplemented or amended from time to time (collectively referred to hereinafter as the “"Prospectus”") and subject to the directions of the Adviser and the Trust’s Fund's Board of Trustees, to purchase, hold and sell investments for the Subadviser Assets and to monitor on a continuous basis the performance of such Subadviser Assets. In providing these services, the Subadviser Assets and to will conduct a continuous continual program of investment, evaluation and, if appropriate, sale and reinvestment of the Subadviser Assets. The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s its activities under this Agreement, including, without limitation, providing information concerning the Fund, its funds available available, or to become available available, for investment, investment and generally as to the conditions of the Fund’s or the Trust’s 's affairs.

In providing these services, the Subadviser will conduct a continuous continual program of investment, evaluation and, if appropriate, sale and reinvestment of the Subadviser Assets. The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s 's activities under this Agreement, including, without limitation, providing information concerning the FundFunds, its their funds available available, or to become available available, for investment, investment and generally as to the conditions of the Fund’s or the Trust’s affairsSubadviser Assets.

Investments. The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s activities under this Agreement, including, without limitation, providing information concerning the Fund, its funds available or to become available for investment, and generally as to the conditions of the Fund’s or the Trust’s affairs. The Subadviser offers no guarantees of investment performance, profitability, or that the Fund’s performance objective will be met.

Investments. The Subadviser is hereby authorized and directed and hereby agrees, subject to the stated investment policies and restrictions of the a Fund as set forth in the a Fund’s 's prospectus and statement of additional information as currently in effect and, as soon as practical after the Trust, the a Fund or the Adviser notifies the Subadviser thereof, as supplemented or amended from time to time (collectively referred to hereinafter as the “"Prospectus”") and subject to the directions of the Adviser and the Trust’s 's Board of Trustees, to monitor on a continuous basis the performance of the Subadviser Assets and to conduct a continuous program of investment, evaluation and, if appropriate, sale and reinvestment of the Subadviser Assets. The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s 's activities under this Agreement, including, without limitation, providing information concerning the a Fund, its funds available available, or to become available available, for investment, investment and generally as to the conditions of the such Fund’s 's or the Trust’s 's affairs.

Investments. The Subadviser is hereby authorized and directed and hereby agrees, subject to the stated investment policies and restrictions of the Fund as set forth in the Fund’s 's prospectus and statement of additional information as currently in effect and, as soon as practical after the Trust, the Fund or the Adviser notifies the Subadviser thereof, and as supplemented or amended from time to time (collectively referred to hereinafter as the “"Prospectus”") and subject to the directions of the Adviser and the Trust’s 's Board of Trustees, to purchase, hold and sell investments for the Subadviser Assets and to monitor on a continuous basis the performance of the Subadviser Assets and to Assets. In providing these services, the Subadviser will conduct a continuous continual program of investment, evaluation and, if appropriate, sale and reinvestment of the Subadviser Assets. The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s activities under this Agreement, including, without limitation, providing information concerning the FundFund (including current copies of the Prospectus and all supplements thereto), its funds available or to become available for investment, and generally as to the conditions of the Fund’s or the Trust’s affairs.

Investments. The Subadviser is hereby authorized and directed and hereby agrees, subject to the stated investment policies and restrictions of the Fund as set forth # 193380 v. 5 in the Fund’s prospectus (“Prospectus”) and statement of additional information (“SAI”) as currently in effect and, as soon as practical after the Trust, the Fund or the Adviser notifies the Subadviser thereof, as supplemented or amended from time to time (collectively referred to hereinafter as the “Prospectus”) and subject to the directions of the Adviser and the Trust’s Board of Trustees, to monitor on a continuous basis the performance of the Subadviser Assets and to conduct a continuous program of investment, evaluation and, if appropriate, sale and reinvestment of the Subadviser Assets. The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s activities under this Agreement, including, without limitation, providing information concerning the Fund, its funds available available, or to become available available, for investment, investment and generally as to the conditions of the Fund’s or the Trust’s affairs.

Investments. The Subadviser is hereby authorized and directed and hereby agrees, subject to the stated investment policies and restrictions of the Fund Funds as set forth in the Fund’s Funds' prospectus and statement of additional information as currently in effect and, as soon as practical after the Trust, the Fund or the Adviser notifies the Subadviser thereof, and as supplemented or amended from time to time (collectively referred to hereinafter as the “"Prospectus”") and subject to the directions of the Adviser and the Trust’s 's Board of Trustees, to purchase, hold and sell investments for the Subadviser Assets ("Fund Investments") and to monitor on a continuous basis the performance of the Subadviser Assets and to Assets. In providing these services, the Subadviser will conduct a continuous continual program of investment, evaluation and, if appropriate, sale and reinvestment of the Subadviser Assets. The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s its activities under this Agreement, including, without limitation, providing information concerning the FundFunds, its their funds available available, or to become available available, for investment, investment and generally as to the conditions of the Fund’s Funds' or the Trust’s 's affairs.

Investments. The Subadviser is hereby authorized and directed and hereby agrees, subject to the stated investment policies and restrictions of the Fund as set forth in the Fund’s prospectus and statement of additional information as currently in effect and, as soon as practical after the Trust, the Fund or the Adviser notifies the Subadviser thereof, as supplemented or amended from time to time (collectively referred to hereinafter as the “Prospectus”) and subject to the directions of the Adviser and the Trust’s Board of TrusteesTrustees received in writing, to monitor on a continuous basis the performance of the Subadviser Assets and to conduct a continuous program of investment, evaluation and, if appropriate, sale and reinvestment of the Subadviser Assets. The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s activities under this Agreement, including, without limitation, providing information concerning the Fund, its funds available or to become available for investment, and generally as to the conditions of the Fund’s or the Trust’s affairs.

Investments. The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s activities under this Agreement, including, without limitation, providing information concerning the FundFunds, its funds available available, or to become available available, for investment, investment and generally as to the conditions of the Fund’s or the Trust’s affairs.

The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s activities under this Agreement, including, without limitation, providing information concerning the Fund, its funds available or to become available for investment, and generally as to the conditions of the Fund’s or the Trust’s affairs.

Investments. The Subadviser is hereby authorized and directed and hereby agrees, subject to the stated investment policies and restrictions of the Fund as set forth in the Fund’s prospectus (“Prospectus”) and statement of additional information (“SAI”) as currently in effect and, as soon as practical after the Trust, the Fund or the Adviser notifies the Subadviser thereofthereof in writing, as supplemented or amended from time to time (collectively referred to hereinafter as the “Prospectus”) and subject to the written directions of the Adviser and the Trust’s Board of Trustees, to monitor on a continuous an on-going basis the performance of the Subadviser Assets and to conduct a continuous program of investment, evaluation and, if appropriate, sale and reinvestment of the Subadviser AssetsAssets in accordance with the Subadviser’s Intrinsic Edge Plus Strategy (“Intrinsic Edge Plus Strategy”). The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s activities under this Agreement, including, without limitation, providing information concerning the Fund, its funds available available, or to become available available, for investment, investment and generally as to the conditions of the Fund’s or the Trust’s affairs.

Investments. The Subadviser is hereby authorized and directed and hereby agrees, subject to the stated investment policies and restrictions of the Fund as set forth in the Fund’s 's prospectus and statement of additional information as currently in effect and, as soon as practical after the Trust, the Fund or the Adviser notifies the Subadviser thereof, and as supplemented or amended from time to time (collectively referred to hereinafter as the “"Prospectus”") and subject to the directions of the Adviser and the Trust’s =s Board of Trustees, to purchase, hold and sell investments for the Subadviser Assets and to monitor on a continuous basis the performance of the Subadviser Assets and to Assets. In providing these services, the Subadviser will conduct a continuous continual program of investment, evaluation and, if appropriate, sale and reinvestment of the Subadviser Assets. The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s its activities under this Agreement, including, without limitation, providing information concerning the a Fund, its funds available available, or to become available available, for investment, investment and generally as to the conditions of the Fund’s =s or the Trust’s 's affairs.

Investments. The Subadviser is hereby authorized and directed and hereby agrees, subject to the stated investment policies and restrictions of the Fund as set forth in the Fund’s prospectus and statement of additional information as currently in effect and, as soon as practical after the Trust, the Fund or the Adviser notifies the Subadviser thereof, as supplemented or amended from time to time (collectively referred to hereinafter as the “Prospectus”) and subject to the directions of the Adviser and the Trust’s Board of Trustees, to monitor on a continuous basis the performance of the Subadviser Assets and to conduct a continuous program of investment, evaluation and, if appropriate, sale and reinvestment of the Subadviser Assets. The Subadviser is authorized, in its sole discretion and without prior consultation with the Adviser, to buy, sell, lend and otherwise trade in any stocks, bonds and other securities and investment instruments on behalf of the Subadviser Assets, in accordance with each Fund’s investment objective and policies. The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s activities under this Agreement, including, without limitation, providing information concerning the Fund, its funds available or to become available for investment, and generally as to the conditions of the Fund’s or the Trust’s affairs.

The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s activities under this Agreement, including, without limitation, providing information concerning the Fund, its funds available or to become cash flow and cash available for investment, investment and generally as to the conditions of the Fund’s or the Trust’s affairs.

Investments. The Subadviser is hereby authorized and directed and hereby agrees, subject to the stated investment policies and restrictions of the Fund as set forth in the Fund’s prospectus (“Prospectus”) and statement of additional information (“SAI”) as currently in effect and, as soon as practical after the Trust, the Fund or the Adviser notifies the Subadviser thereof, as supplemented or amended from time to time (collectively referred to hereinafter as the “Prospectus”) and subject to the directions of the Adviser and the Trust’s Board of Trustees, to monitor on a continuous basis the performance of the Subadviser Assets and to conduct a continuous program of investment, evaluation andand recommendations, if appropriate, to the Adviser regarding the sale and reinvestment of the Subadviser Assets. The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s activities under this Agreement, including, without limitation, providing information concerning the Fund, its funds available available, or to become available available, for investment, investment and generally as to the conditions of the Fund’s or the Trust’s affairs.

The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s activities under this Agreement, including, without limitation, providing information concerning the each Fund, its funds available available, or to become available available, for investment, investment and generally as to the conditions of the Fund’s or the Trust’s affairs.

Investments. The Subadviser is hereby authorized and directed and hereby agrees, subject to the stated investment policies and restrictions of the Fund as set forth in the Fund’s prospectus and statement of additional information as currently in effect and, as soon as February 2013 1 practical after the Trust, the Fund or the Adviser notifies the Subadviser thereof, as supplemented or amended from time to time (collectively referred to hereinafter as the “Prospectus”) and subject to the directions of the Adviser and the Trust’s Board of Trustees, to monitor on a continuous basis the performance of the Subadviser Assets and to conduct a continuous program of investment, evaluation and, if appropriate, sale and reinvestment of the Subadviser Assets. The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s activities under this Agreement, including, without limitation, providing information concerning the Fund, its any funds available or to become available for investment, and generally as to the conditions of the Fund’s or the Trust’s affairs.

Investments. The Subadviser is hereby authorized and directed and hereby agrees, subject to the stated investment policies and restrictions of the each Fund as set forth in the Fund’s Funds’ prospectus (“Prospectus”) and statement of additional information (“SAI”) as currently in effect and, as soon as practical after the Trust, the a Fund or the Adviser notifies the Subadviser in writing thereof, as supplemented or amended from time to time (collectively referred to hereinafter as the “Prospectus”) and subject to the written directions of the Adviser and the Trust’s Board of Trustees, to monitor on a continuous basis the performance of the Subadviser Assets and to conduct a continuous program of investment, evaluation and, if appropriate, sale and reinvestment of the Subadviser Assets. The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s activities under this Agreement, including, without limitation, providing information concerning the each Fund, its funds available available, or to become available available, for investment, investment and generally as to the conditions of the Fund’s or the Trust’s affairs. The Subadviser shall have no responsibility for filing proofs of claim on behalf of the Trust related to class actions involving any Subadviser Assets.

Investments. The Subadviser is hereby authorized and directed and hereby agrees, subject to the stated investment policies and restrictions of the Fund as set forth in the Fund’s 's current prospectus and statement of additional information as currently in effect and, as soon as practical after the Trust, the Fund or the Adviser notifies the Subadviser thereof, as supplemented or amended from time to time (collectively referred to hereinafter as the “"Prospectus”") and subject to the directions of the Adviser and the Trust’s 's Board of Trustees, to monitor on a continuous basis the performance of the Subadviser Assets and to conduct a continuous program of investment, evaluation and, if appropriate, sale and reinvestment of the Subadviser Assets. The Subadviser is authorized, in its sole discretion and without prior consultation with the Adviser, to buy, sell, lend and otherwise trade in any stocks, bonds and other securities and investment instruments on behalf of the Subadviser Assets, in accordance with the Fund's investment objective and policies. The Adviser agrees to provide the Subadviser with such assistance as may be reasonably requested by the Subadviser in connection with the Subadviser’s 's activities under this Agreement, including, without limitation, providing information concerning the Fund, its funds available available, or to become available available, for investment, investment and generally as to the conditions of the Fund’s 's or the Trust’s 's affairs.
