Subject to investment policies and guidelines established by the Board, the Manager will identify, evaluate, structure and close the investments to be made by the Fund, arrange debt financing for the Fund, provide portfolio management and servicing of loans held in the Fund’s portfolio, and administer the Fund’s day-to-day affairs.

The Employer shall establish and communicate to the Trustee, a funding policy which shall be consistent with the objectives of the Plan, ERISA, and other applicable legal requirements and which shall identify the Plan's short-run and long-run financial needs with respect to liquidity and growth, as the same may change from time to time.
Investment Duties. (a) The Firm shall analyze the Portfolio and provide continuous review thereof, together with all alterations thereto, as is appropriate for the purpose of investment of the Portfolio. The Firm shall evaluate such information relating to the economy, industries, businesses, securities markets and securities and consult such sub- advisors as it may deem necessary or useful in the rendering of its services hereunder.

Investment Duties. Subject to those rights and obligations of the Advisory Board as are set forth in Article 7, the Managing Member will supervise and manage the loan and securities portfolio acquired by the Company from Venture Inc. and will determine from time to time what securities and other investments will be retained or sold by the Company and will provide portfolio management and servicing of the investments held in the Company's portfolio, administer the Company's day-to-day affairs, and attend to Member relations. The Managing Member will use reasonable efforts not to carry any investment or incur any liability for and on behalf of the Company which would result in the realization of "unrelated business taxable income" within the meaning of Section 512 of the Code. Administrative Duties. The Managing Member will administer the affairs of the Company as provided for hereunder and, in particular, will, among its other duties, attend to the following items: The Managing Member will supervise all aspects of the operations of the Company, including oversight of transfer agency, custodial and accounting services, to be paid by the Company; The Managing Member will arrange, but not pay, for the periodic preparation, updating, filing and dissemination (as required) of tax returns and required reports to the Members and appropriate federal or state regulatory authorities; The Managing Member will maintain or oversee the maintenance of all books and records with respect to the Company; and All cash, securities and other assets of the Company will be maintained in the custody of one or more banks in accordance with the provisions of Rule 206(4)-2 of the Rules under the Advisers Act; the authority of the Managing Member to instruct the Company's custodian(s) to deliver and receive such cash, securities and other assets on behalf of the Company will be governed by a custodian agreement (the "Custodian Agreement") between the Company and each such custodian. Management Companies. Effective the "Effective Date" of the Plan of Liquidation (as defined in the Plan of Liquidation), the Managing Member will delegate to the Management Companies certain of the management and administrative responsibilities of the Managing Member under this Agreement, including certain reporting and administrative duties, pursuant to a Management Agreement in the form of Annex B hereto, as said Management Agreement is approved by the shareholders of Venture Inc. (hereinafter, the "Management Agreement")....
Investment Duties. Subject to the overall supervision and control of the Directors as aforementioned the Manager shall in accordance with the investment policy of the Directors manage the investment and reinvestment of all cash securities and other property from time to time comprising the assets of the Company and (without prejudice to the generality of the foregoing) shall take such investment decisions as appear to the Manager to be appropriate in order to achieve the current investment objectives of the Company as from time to time laid down by the Directors, with power on behalf of the Company at its discretion to purchase or otherwise acquire investments and to sell exchange vary or transpose the same provided that the Manager (and any agent of the appointee appointed for the purpose) may in respect of each investment decision follow the advice of any adviser or sub-adviser from time to time approved by the Directors but the Manager or its appointee hereunder (and any agent of the appointee appointed for the purpose) shall exercise its own judgment and shall not be bound to follow such advice.
