Investment Adviser. The Buyer is an investment adviser registered under the Investment Advisers Act of 1940.
Investment Adviser. The Buyer is an investment adviser registered under the Investment Advisers Act of 1940. -- SBIC. The Buyer is a Small Business Investment Company licensed by the U.S. Small Business Administration under Section 301(c) or (d) of the Small Business Investment Act of 1958.
Investment Adviser. The Trustees may in their discretion, from time to time, enter into an investment advisory or management contract or contracts with respect to the Trust or any Portfolio whereby the other party or parties to such contract or contracts shall undertake to furnish the Trustees with such management, investment advisory, statistical and research facilities and services and such other facilities and services, if any, and all upon such terms and conditions, as the Trustees may in their discretion determine. The Trustees may authorize the investment adviser to employ, from time to time, one or more sub-advisers to perform such of the acts and services of the investment adviser, and upon such terms and conditions, as may be agreed upon among the Trustees, the investment adviser and sub-adviser. Any references in this Agreement to the investment adviser shall be deemed to include such sub-advisers, unless the context otherwise requires.

Investment Adviser. Subject to a Majority Shareholder Vote (only to the extent shareholder approval is required by the 1940 Act, giving effect to any related exemptive rules, orders or interpretive positions of the Securities and Exchange Commission or its staff), the Trustees may enter into one or more investment advisory contracts on behalf of the Trust or any Series, providing for investment advisory services, statistical and research facilities and services, and other facilities and services to be furnished to the Trust or Series on terms and conditions acceptable to the Trustees. Any such contract may provide for the investment adviser to effect purchases, sales or exchanges of portfolio securities or other Trust Property on behalf of the Trustees or may authorize any officer or agent of the Trust to effect such purchases, sales or exchanges pursuant to recommendations of the investment adviser. The Trustees may authorize the investment adviser to employ one or more sub-advisers.
Investment Adviser. The Trust will, and hereby does, retain the Investment Adviser to act as the investment adviser of the Fund and to provide certain services, as more fully set forth below, and the Investment Adviser hereby accepts such retainer.
Investment Adviser. The Trustees may, at any time and from time to time, contract for exclusive or nonexclusive advisory, management and/or administrative services for the Trust and/or for any Series with any Person; and any such contract may contain such other terms as the Trustees may determine, including without limitation, authority for the Investment Adviser to determine from time to time, without prior consultation with the Trustees, what investments shall be purchased, held, sold or exchanged by the Trust and/or for each Series and what portion, if any, of the assets of the Trust and/or each Series shall be held uninvested and to make changes in the Trust’s and/or each Series’ investments, and such other responsibilities as may specifically be delegated to such Person. The Trustees may authorize the Investment Adviser to employ, from time to time, one or more sub-advisers to perform such of the acts and services of the Investment Adviser, and upon such terms and conditions, as may be agreed among the Trustees, the Investment Adviser and sub-adviser. Any reference in this Declaration of Trust to the Investment Adviser shall be deemed to include such sub-advisers, unless the context otherwise requires.
Investment Adviser. Without limiting the powers set forth in Paragraph 4 above, the Trustees shall have the power to appoint and discharge from time to time one or more investment advisers (individually, an “Adviser” and collectively, the “Advisers”). Such Adviser or Advisers may be authorized by the Trustees to supervise the investment operations of the Fund and the composition of its portfolio, and may also be authorized to furnish the Fund with advice and recommendations concerning investments, investment policies, and the purchase or sale of securities as well as advice concerning appropriate persons to fill positions with the Fund. In connection with the performance of the foregoing duties, the Adviser or Advisers may be further authorized to carry out and execute purchases and sales of investments and to perform such other acts as the Trustees may deem necessary or advisable.
Investment Adviser. The Manager will not be or become, at any time prior to the expiration of three years after the date of this Agreement, an “investment adviser,” as such term is defined in the Investment Advisers Act of 1940, as amended (the “Investment Advisers Act”).
