Interruptible. Subject to the provisions hereof, Seller and Buyer shall Schedule, or cause to be Scheduled, at the Delivery Point(s) each Gas Day, on an interruptible basis, if the Parties have so elected in a Transaction as evidenced in a Confirmation, the Designated Quantity. Either Party may, at its sole discretion and without liability, except as provided in Section 4.2 below, interrupt, in whole or in part, the Scheduling of Gas at any time for any reason upon prior notice by telephone and confirmed by facsimile to the other Party specifying the amount and duration of the interruption sufficient to allow the notified Party to make changes to its Transporter nominations in accordance with its Transporter's procedures. No notice of interruption may be retroactive to a prior time. Should an interruption occur without the notice herein required and such interruption is not otherwise excused by Force Majeure, the interrupting Party shall be liable for and pay all associated penalties and cashout costs and losses charged by all Transporters, if any, as provided in Section 4.2. The sale and purchase of Gas under this Section 3.1 is interruptible by either Party as set forth in this Article 3, and nothing herein shall obligate Seller to sell and deliver or Buyer to purchase and receive any quantity of Gas, except as set forth under Section 3.2 herein.

Interruptible. If sales under this Agreement are designated as "Interruptible", then Seller may interrupt Buyer at any time for any reason. The Parties have agreed to make and accept deliveries of gas on a daily basis without any obligation other than Buyer's obligation to take and to pay for the gas it nominates on a daily basis, and Seller's obligation to bill Buyer for the gas Seller delivers at the price specified in the Xxxxring Exhibit.
Interruptible storage service Shippers paying a higher Unit Rate, as defined in Bay Gas' General Terms and Conditions, shall be scheduled ahead of interruptible storage service Shippers paying a lower Unit Rate. If, because of changes in available Capacity at any time, Bay Gas is required to reschedule interruptible Shippers that are injecting, storing or withdrawing gas and are paying the same Unit Rate, then the Capacity shall be rescheduled pro rata based on applicable contract quantities for said Shippers.

  • Outages 9.7.1.1 Outage Authority and Coordination. Interconnection Customer and Transmission Owner may each in accordance with Good Utility Practice in coordination with the other Party and Transmission Provider remove from service any of its respective Interconnection Facilities, System Protection Facilities, Network Upgrades, System Protection Facilities or Distribution Upgrades that may impact the other Party’s facilities as necessary to perform maintenance or testing or to install or replace equipment. Absent an Emergency Condition, the Party scheduling a removal of such facility(ies) from service will use Reasonable Efforts to notify one another and schedule such removal on a date and time mutually acceptable to the Parties. In all circumstances, any Party planning to remove such facility(ies) from service shall use Reasonable Efforts to minimize the effect on the other Parties of such removal.

  • Workloads (a) The parties agree that patient care is enhanced if concerns relating to professional practice, patient acuity, fluctuating Work-Loads and fluctuating staffing are resolved in a timely and effective manner.
