Common use of Interpretation Venue Clause in Contracts

Interpretation Venue. (i) The headings and titles used in this Agreement are for convenience and reference only and are not intended to give notice of all of the matter in the articles following such headings and titles. Said headings and titles do not constitute any part of this Agreement and are not to be considered in its interpretation. (ii) This Agreement is made in Napa County, California. The validity, performance and enforcement of this Agreement shall be construed in accordance with the laws of the State of California. Venue for any action arising out of or relating to this Agreement shall be in the state court of proper jurisdiction for the County of Napa, or if within the jurisdiction of the federal courts, Northern District of California. The appropriate venue for mediation, arbitration or similar legal proceedings under this Agreement shall be Napa County, California.
