Internal Use License. UNIVERSITY grants to SPONSOR a non-exclusive, royalty-free license to use, reproduce, prepare derivative works, display, distribute and perform all UNIVERSITY-owned Copyrightable Works (including any computer software and its documentation and/or databases first developed and delivered) for SPONSOR’s non-commercial purposes, provided that SPONSOR shall not have the right to market or sublicense the Copyrightable Works or distribute copies or derivative works to third parties unless such rights are provided for in a separate distribution or licensing agreement.
Internal Use License. UNIVERSITY grants to SPONSOR a non-exclusive, royalty-free license to use, reproduce, prepare derivative works, display, distribute and perform all UNIVERSITY-owned Copyrightable Works other than computer software and its documentation and informational databases for SPONSOR’s internal research purposes, provided that SPONSOR shall not have the right to distribute copies or derivative works to third parties. For UNIVERSITY-owned Copyrightable Works that are identified as a deliverable under the Statement of Work and in the nature of computer software (and its documentation) or informational databases, UNIVERSITY grants to SPONSOR for SPONSOR’s internal research purposes a royalty-free, non-transferable, non-exclusive license to use, reproduce, prepare derivative works, display and perform such Copyrightable Works.
Internal Use License. If authorized, Partner may obtain a limited license to use certain Software solely for its internal data processing and data management needs (“Internal Use License”). Partner acknowledges that the Internal Use License does not permit Partner to use the Software for a timesharing, outsourcing or service bureau application.
Internal Use License. Subject to the terms and conditions of the Agreement and Licensee’s compliance therewith, Licensor hereby grants to Licensee a non-exclusive, non-transferable, non-sublicensable license to use the Software solely for the purpose of internal research purposes at the facilities of Licensee.
Internal Use License. Subject to each party’s obligations, during the term of the Evaluation each party shall have a co-exclusive, royalty-free license, without the right to sublicense, to use the Data solely for the purpose of negotiating a potential strategic or collaborative agreement between Accler8 and Novartis Diagnostics. Nothing contained within this Agreement shall impose an obligation to negotiate or enter into any future agreement.
Internal Use License. A nonexclusive, nontransferable license to install the Products on computers owned or leased by Partner within the Territory and to use the Products solely for evaluation, demonstration and promotional purposes. In no event may Partner use the Products for production or any other commercial purposes.
Internal Use License. Subject to the terms and conditions of this Agreement (including Service Provider's obligation to pay the fees), PeopleSoft grants to Service Provider a worldwide, royalty-free, non-exclusive, non-transferable license during the term of this Agreement to use and display the Software only for the following non-production, marketing purposes in connection with the Outsourcing Services contemplated hereby; demonstrations; technical promotion activities; and internal education and training of employees of Service Provider. Service Provider may copy and distribute and/or electronically distribute the Software within Service Provider for the purposes set forth in this subsection. Service Provider shall reproduce all titles, trademarks, and copyright and restricted rights notices in the Software in all such copies. Except as set forth above, Service Provider may not transfer or duplicate the Software under this grant except for (i) temporary transfer in the event of a CPU malfunction and (ii) a single backup and archival copy. With the exception of the limited and restricted use license granted pursuant to this section, all other terms and conditions of PeopleSoft's License Agreement shall govern and apply.
Internal Use License. Effective upon Acceptance and upon -------------------- TEL's receipt of a list identifying up to six (6) designated Central Processing Units ("CPUs"), TEL grants to KLA a non-exclusive, world-wide, royalty-free license to reproduce the CATS Falcon Driver and those CATS Falcon Options which KLA licenses pursuant to Section 7 for use internally for support and demonstration purposes on up to six (6)
Internal Use License. VAR shall pay Selectica, for each of the Products that it uses or distributes for internal purposes within the scope of the rights set forth in Section 5(a)(i) of this Agreement, the amounts set forth in Exhibit G.
Internal Use License. (a) Subject to Section 4.3, Houston hereby grants, and shall cause the other members of the Houston Group to grant, to Xxxxxxx a non-exclusive, non-transferable (except as provided in Section 8.2), sublicensable (solely and to the extent provided in Section 4.1(b)), worldwide, fully paid-up, royalty-free license to internally use, modify, update, upgrade, enhance, improve, reproduce, and prepare derivative works of the Houston Technology, for the sole purpose of developing, maintaining or supporting the products and services being provided by the Xxxxxxx Business as of or prior to the Distribution Date and natural evolutions thereof, but in all cases excluding any Chicago Products or Services. No right is granted under this Section 4.1 to distribute or otherwise make available to any third party any Houston Technology except as expressly set forth herein.
