INTERNAL PROPRIETARY INFORMATION. The Parties agree not to use, sell, give, disclose, or otherwise make available to third parties or the public at any time any knowledge or information they may obtain relating to internal proprietary techniques and methods used by the other Party for purposes of geological interpretation, extraction, mining, processing of minerals, or any other proprietary information that may be acquired.
INTERNAL PROPRIETARY INFORMATION. (a) Subject to (b) below, all intellectual property rights will remain the property of the owner or licensor of those intellectual property rights. (b) All intellectual property rights in any new invention, technological developments or improvement to an existing invention created or developed in connection with or for the purposes of the Joint Venture will become and remain the property of owners of the original property rights. (c) The owner of intellectual property rights licensed or used pursuant to this Agreement shall indemnify and save the other Party harmless from all claims and related costs and damages based on an allegation that any of the intellectual property rights infringes the proprietary rights of any third party. (d) If a Party ceases to be entitled to use the intellectual property rights it has provided under this Agreement, it shall immediately notify the other Party and will not be liable in respect of any infringement claim for the unauthorized use of such intellectual property rights from the date of notification.
