Intellectual Property Filing. Whenever such Grantor, either by itself or through any agent, employee, licensee or designee, files an application for the registration of any Intellectual Property with the United States Patent and Trademark Office, the United States Copyright Office or any similar office or agency in any other country or any political subdivision thereof, such Grantor shall notify the Collateral Agent in writing of such filing within five (5) Business Days of such filing; provided, that, upon receipt from the United States Copyright Office of notice of registration of any such Copyright(s), such Grantor shall promptly (but in no event later than five (5) Business Days following such receipt) notify the Collateral Agent in writing of such registration by delivering, or causing to be delivered to the Collateral Agent, documentation sufficient for the Collateral Agent to perfect the Collateral Agent’s Liens on such Copyright(s). Upon the request of the Collateral Agent, such Grantor shall execute and deliver within five (5) Business Days of such request, in recordable form, any and all agreements, instruments, documents, and papers as the Collateral Agent may reasonably request to evidence the Collateral Agent’s Lien on any such registered Copyright, Patent, Trademark or application therefor and the goodwill and general intangibles of such Grantor relating thereto or represented thereby.

Intellectual Property Filing. To the extent required by Agents, delivery to Collateral Agent of all cover sheets or other documents or instruments required to be filed with the U.S. Patent and Trademark Office and the U.S. Copyright Office in order to create or perfect Liens in respect of any material IP Collateral, together with releases duly executed (if necessary) of security interests by all applicable Persons for filing in all applicable jurisdictions as may be necessary to terminate any effective filings in the U.S. Patent and Trademark Office and the U.S. Copyright Office in respect of any IP Collateral (other than any such filings in respect of Liens permitted to remain outstanding pursuant to the terms of this Agreement).
Intellectual Property Filing. Grantor, either by itself or through any agent, employee, licensee or designee, upon the filing of any application for registration of any Intellectual Property with the United States Patent and Trademark Office or the United States Copyright Office, in each case which is material to the conduct of the business of a Grantor and its Subsidiaries shall promptly notify the Collateral Agent of such filing(s) (it being understood that prior to an Event of Default for purposes of this Section 4.07 such notice shall not be required more than once per fiscal quarter and shall be considered promptly delivered if such notice of filing is provided to the Collateral Agent with the delivery of the next quarterly Compliance Certificate (or at such later date and time agreed by the Collateral Agent in accordance with the terms of the DIP Credit Agreement) and, upon request of the Collateral Agent, execute and deliver (within five (5) Business Days of such request) any and all agreements, instruments, documents and papers as the Collateral Agent may request to evidence the security interest granted by such Grantor to the Collateral Agent hereunder in such Intellectual Property, including without limitation any Intellectual Property Security Agreements, and each Grantor hereby appoints the Collateral Agent as its attorney-in-fact to execute and file such writings for the foregoing purposes, which power shall be irrevocable from the execution date of this Agreement until the Termination Date, all such lawful acts of such attorney in accordance with this agreement being hereby ratified and confirmed).
Intellectual Property Filing. When the Security Agreement or a short form thereof is filed in the United States Patent and Trademark Office and the United States Copyright Office, together with the filings referred to in (a) above, the Liens created by such Security Agreement shall constitute fully perfected Liens on, and security interests in, all right, title and interest of the grantors thereunder in the Patents, Trademarks, Registered Copyrights and Registered Copyright Licenses (each as defined in such Security Agreement), in each case to the extent perfection can be so accomplished and subject to no Liens other than Permitted Liens.

Intellectual Property Filing. Whenever such Grantor, either by itself or through any agent, employee, licensee or designee, shall file an application for the issuance or registration of any Intellectual Property with the United States Patent and Trademark Office or the United States Copyright Office, such Grantor shall report such filing to the Administrative Agent together with the delivery of the compliance certificate as required by Section 8.01(d) of the Credit Agreement; provided, that, upon receipt from the United States Copyright Office of notice of registration of any Copyright(s), such Grantor shall promptly (but no later than seven (7) Business Days following such receipt) notify Administrative Agent of such registration by delivering, or causing to be delivered to Administrative Agent, via overnight courier, electronic mail or telefacsimile at the addresses designated in the Credit Agreement, documentation sufficient for Administrative Agent to perfect Administrative Agent’s Liens on such Copyright(s). Upon the reasonable request of the Administrative Agent, such Grantor shall execute and deliver promptly (and in any event within seven (7) Business Days, or such longer period as the Administrative Agent may agree in its sole discretion) in recordable form, any and all agreements, instruments, documents, and papers as the Administrative Agent may request to evidence the Administrative Agent’s Lien on any issued Patent, registered Copyright or registered Trademark or any application therefor owned by such Grantor and the goodwill and general intangibles of such Grantor relating thereto or represented thereby.
Intellectual Property Filing. Grantor, either by itself or through any agent, employee, licensee or designee, upon the filing of any application for registration of any Intellectual Property with the United States Patent and Trademark Office, the United States Copyright Office, or any applicable foreign office, in each case which is material to the conduct of the business of a Grantor and its Subsidiaries shall notify the Collateral Agent of such filing(s) on a quarterly basis, and, upon request of the Collateral Agent, execute and deliver (within five (5) Business Days of such request) any and all agreements, instruments, documents and papers as the Collateral Agent may request to evidence the security interest granted by such Grantor to the Collateral Agent hereunder in such Intellectual Property, including without limitation any Intellectual Property Security Agreements, and each Grantor hereby appoints the Collateral Agent as its attorney-in-fact to execute and file such writings for the foregoing purposes, which power shall be irrevocable from the execution date of this Agreement until the Termination Date, all such lawful acts of such attorney in accordance with this agreement being hereby ratified and confirmed.

Intellectual Property Filing. If any Grantor, either by itself or through any agent, employee, licensee or designee, files any application for registration of any Intellectual Property with the United States Patent and Trademark Office or the United States Copyright Office, Grantor shall notify Agent within 45 days of the end of each fiscal quarter and thereafter, upon the reasonable request of Agent, such Grantor shall promptly execute and deliver any and all agreements, instruments, documents and papers as Agent may request to evidence the security interest granted by such Grantor to Agent hereunder in such Intellectual Property, including without limitation any Intellectual Property Security Agreements, and each Grantor hereby appoints Agent as its attorney-in-fact to execute and file such writings for the foregoing purposes, all such lawful acts of such attorney in accordance with this agreement being hereby ratified and confirmed; such power, being coupled with an interest, is irrevocable. Notwithstanding anything to the contrary in this Agreement, no Grantor shall be required to make any filings or take any actions to record or perfect any Grantor’s security interest in Collateral consisting of Intellectual Property in any jurisdiction other than in the United States.
Intellectual Property Filing. Without limiting the requirements of SECTION 7.5 above, upon the reasonable request of the Agent, in order to facilitate filings with the United States Patent and Trademark Office and the United States Copyright Office, and in any similar office or agency of the United States, any State thereof or, subject to the considerations set forth in SECTION 3.3(c), any other country or any political subdivision thereof in which any Electing Foreign Guarantor is incorporated, formed or otherwise organized, each Grantor shall execute and deliver to the Agent one or more Copyright Security Agreements, Trademark Security Agreements, or Patent Security Agreements to further evidence the Agent’s Lien on such Patents, Trademarks, or Copyrights owned by such Grantor, as of the Closing Date.
