Common use of Integration Clause Clause in Contracts

Integration Clause. This Release and the Transition and Separation Agreement contain the Parties’ entire agreement with regard to the transition and separation of Executive’s employment, and supersede and replace any prior agreements as to those matters, whether oral or written. This Release may not be changed or modified, in whole or in part, except by an instrument in writing signed by Executive and the Chief Executive Officer of the Company.

Integration Clause. This Release [and the Transition and Separation Agreement Agreement] contain the Parties’ entire agreement with regard to the transition and separation of Executive’s employment, and supersede and replace any prior agreements as to those matters, whether oral or written. This Release may not be changed or modified, in whole or in part, except by an instrument in writing signed by Executive and the Chief Executive Officer a duly authorized officer or director of the Company.

Integration Clause. This Release and the Transition and Separation Agreement Agreement, collectively with the Confidentiality Agreement, any indemnification agreement between Executive and the Company and the Option Agreements (as defined in the Transition and Separation Agreement), contain the Parties’ entire agreement with regard to the transition and separation of Executive’s employment, and supersede and replace any prior agreements as to those matters, whether oral or written. This Release may not be changed or modified, in whole or in part, except by an instrument in writing signed by Executive and the Chief Executive Officer of the Company.

This Release and the Transition and Separation Agreement Agreement, the Confidential Information Agreement, and the Equity Award agreements contain the Parties’ Parties entire agreement with regard to the transition and separation of Executive’s employment, and supersede and replace any prior agreements as to those matters, whether oral or written. This Release may not be changed or modified, in whole or in part, except by as an instrument in writing signed by Executive and the President& Chief Executive Officer of the Company.

This Release and the Transition and Separation Agreement contain the Parties’ entire agreement with regard to the transition and separation of Executive’s employment, and supersede and replace any prior agreements as to those matters, whether oral or written. This Release and the Transition and Separation Agreement Agreement, collectively with the Confidentiality Agreement, the indemnification agreement between Executive and the Company and the agreements evidencing the Equity Awards, contain the Parties’ entire agreement with regard to the transition and separation of Executive’s employment, and supersede and replace any prior agreements as to those matters, whether oral or written. This Release may not be changed or modified, in whole or in part, except by an instrument in writing signed by Executive and the Chief Executive Officer of the Company.

Integration Clause. This Release and the Transition and Separation Agreement, the Confidential Information Agreement, the RSU Award Agreement and the Option Agreements contain the Parties’ entire agreement with regard to the transition and separation of Executive’s employment, and supersede and replace any prior agreements as to those matters, whether oral or written, including without limitation, the Severance Agreement. This Release may not be changed or modified, in whole or in part, except by an instrument in writing signed by Executive and the President & Chief Executive Officer of the Company.

This Release and the Transition and Separation Agreement Agreement, the Confidential Information Agreement, and the Award Agreements contain the Parties’ entire agreement with regard to the transition and separation of Executive’s employment, and supersede and replace any prior agreements as to those matters, whether oral or written, including without limitation, the Pre-Existing Agreement. This Release may not be changed or modified, in whole or in part, except by an instrument in writing signed by Executive and the President & Chief Executive Officer of the Company.

This Release and the Transition and Separation Agreement and the Letter Agreement, contain the Parties’ entire agreement with regard to the transition and separation of Executive’s employment, and supersede and replace any prior agreements as to those matters, whether oral or written, other than as provided in Section 4(d) of the Separation Agreement. This Release may not be changed or modified, in whole or in part, except by an instrument in writing signed by Executive and the Chief Executive Officer of the Company.

This Release and the Transition and Separation Agreement contain the Parties’ entire agreement with regard to the transition and separation of Executive’s employment, and supersede and replace any prior agreements as to those matters, whether oral or written, including without limitation the Separation Benefits Agreement between Executive and the Company dated June 10, 2011. This Release may not be changed or modified, in whole or in part, except by an instrument in writing signed by Executive and the President and Chief Executive Officer of the Company.

This Release and the Transition Separation Agreement, together with the Continuing Obligations and Separation Agreement Executive’s rights and obligations with respect to the securities of the Company, contain the Parties’ entire agreement with regard to the transition and separation of Executive’s employment, and supersede and replace any prior agreements as to those matters, whether oral or written. This Release may not be changed or modified, in whole or in part, except by an instrument in writing signed by Executive and the Chief Executive Officer a duly authorized representative of the Company.

For the avoidance of doubt, this Agreement shall not supersede, nullify or otherwise amend the Asset Purchase Agreement. This Release may not be changed or modified, in whole or in part, except by an instrument in writing signed by Executive and the Chief Executive Officer of the Company.

This Release may not be changed or modified, in whole or in part, except by an instrument in writing signed by Executive and the Chief Executive Officer of the Company.

This Release may not be changed or modified, in whole or in part, except by an instrument in writing signed by Executive Employee and the Chief Executive Officer of the Company.

This Release and the Transition and Separation Agreement, the Confidentiality Agreement, Indemnification Agreement and the Option Agreements contain the Parties’ entire agreement with regard to the transition and separation of Executive’s employment, and supersede and replace any prior agreements as to those matters, whether oral or written.
