Common use of Integration and Conflict Clause in Contracts

Integration and Conflict. (a) It is the mutual desire and intent of the Parties to provide certainty as to their future rights and remedies against each other by defining the extent of their mutual undertakings provided herein. This Agreement and the related Supply Agreement and Option Agreement: (i) constitute the entire agreement and understanding between the Parties with respect to the subject matter contained herein, and there are no promises, representations, conditions, provisions or terms related thereto other than as set forth in this Agreement and the related Supply Agreement and Option Agreement; and (ii) supersede all previous understandings and agreements, and representations between the Parties, whether written or oral, relating to the subject matter. (b) The Parties may from time to time during the term of this Agreement modify any of its provisions by mutual agreement in writing. (c) The Parties agree that each has had the opportunity to be represented by counsel of it choosing including the negotiations that preceded this Agreement. (d) In the event of any conflict between the provisions of this Agreement and the Supply Agreement, unless expressly stated in this Agreement, the provisions of this Agreement shall prevail.
