Integrated System. The Software and Hardware identified under this Agreement are part of an integrated SYSTEM whose composite value for purposes of valuation in Bankruptcy Court under Section 50 of the United States Code must be taken as a whole, and must be considered in any plan to be proposed, and in any adequate protection context, as a fully secured claim, whose market value as of the date of this Agreement is agreed to be equal to the System Price. Said market value is subject to annual adjustment by CDS to the extent of payments made by BUYER or additional charges incurred. The parties further agree that in the event the BUYER seeks bankruptcy protection, or has an involuntary bankruptcy petition filed against it, this Agreement will continue in full force and effect, and payments under this Agreement will be in the ordinary course of business and will be made as scheduled, without modification, until plan confirmation. Failure to make all payments post-petition shall constitute "cause" as that term is defined under Section 362(d)(1) of the Bankruptcy Code, and shall require the bankruptcy court, following a hearing on an order shortening time, to lift the automatic stay to permit recovery by CDS of the System Hardware and Software. BUYER agrees that all post-petition payments due hereunder are administrative obligations and that they shall be so treated in any plan to be submitted by a debtor-in-possession.
Integrated System. (09/17) Contractor warrants that the Products will function together as an integrated System in accordance with the Specifications.
Integrated System. At the conclusion of integration activity, the customer will have a working TracDat SharePoint Option installation, integrated with their SharePoint software and configured to meet their goals.

  • Integrated Contract This Agreement and the exhibits hereto contain the entire agreement of ANAHEIM and CONSULTANT with respect to the matters covered hereby, and no agreement, statement or promise made by either ANAHEIM or CONSULTANT which is not contained herein, shall be valid or binding. First Keystone Community Bank is not responsible for any third party software you may need to use the Services.   • Integrated Account For purposes hereof, deposits maintained in all Principal Accounts (whether or not denominated in Dollars) shall collectively constitute a single and indivisible current account with respect to the Fund's obligations to the Custodian or its assignee, and balances in the Principal Accounts shall be available for satisfaction of the Fund's obligations under this Section 7. The Custodian shall further have a right of offset against the balances in any Agency Account maintained hereunder to the extent that the aggregate of all Principal Accounts is overdrawn.

  • Integrated Agreement The Grant Notice, this Agreement and the Plan, together with the Superseding Agreement, if any, shall constitute the entire understanding and agreement of the Participant and the Participating Company Group with respect to the subject matter contained herein or therein and supersede any prior agreements, understandings, restrictions, representations, or warranties among the Participant and the Participating Company Group with respect to such subject matter. To the extent contemplated herein or therein, the provisions of the Grant Notice, this Agreement and the Plan shall survive any settlement of the Award and shall remain in full force and effect.

  • Integration The Company shall not sell, offer for sale or solicit offers to buy or otherwise negotiate in respect of any security (as defined in Section 2 of the Securities Act) that would be integrated with the offer or sale of the Securities in a manner that would require the registration under the Securities Act of the sale of the Securities or that would be integrated with the offer or sale of the Securities for purposes of the rules and regulations of any Trading Market such that it would require shareholder approval prior to the closing of such other transaction unless shareholder approval is obtained before the closing of such subsequent transaction.

  • Network Interconnection Architecture DTI may interconnect with GTE at any of the minimum technically feasible points required by the FCC. Interconnection at additional points will be reviewed on an individual case basis. Where the Parties mutually agree following a Bona Fide Request to directly interconnect their respective networks, interconnection will be as specified in the following subsections. The "IPs" shall be set forth in Appendix B attached to this Agreement and made a part hereof. Based on the configuration, the installation timeline will vary considerably, however, GTE will work with DTI in all circumstances to install "IPs" within 120 calendar days absent extenuating circumstances. Internetwork connection and protocol must be based on industry standards developed consistent with Section 256 of the Telecommunications Act of 1996.

  • Interconnection Service Interconnection Service allows the Interconnection Customer to connect the Large Generating Facility to the Participating TO’s Transmission System and be eligible to deliver the Large Generating Facility’s output using the available capacity of the CAISO Controlled Grid. To the extent the Interconnection Customer wants to receive Interconnection Service, the Participating TO shall construct facilities identified in Appendices A and C that the Participating TO is responsible to construct. Interconnection Service does not necessarily provide the Interconnection Customer with the capability to physically deliver the output of its Large Generating Facility to any particular load on the CAISO Controlled Grid without incurring congestion costs. In the event of transmission constraints on the CAISO Controlled Grid, the Interconnection Customer's Large Generating Facility shall be subject to the applicable congestion management procedures in the CAISO Tariff in the same manner as all other resources.

A Transmission Owner that is owned by private investors.
