Common use of Integrated Agreement Clause in Contracts

Integrated Agreement. The Notice, this Option Agreement and the Plan constitute the entire understanding and agreement of the Optionee and the Participating Company Group with respect to the subject matter contained herein or therein and supersedes any prior agreements, understandings, restrictions, representations, or warranties among the Optionee and the Participating Company Group with respect to such subject matter other than those as set forth or provided for herein or therein. To the extent contemplated herein or therein, the provisions of the Notice and the Option Agreement shall survive any exercise of the Option and shall remain in full force and effect.

Integrated Agreement. The Notice, this This Option Agreement and the Plan constitute the entire understanding and agreement of the Optionee and the Participating Company Group with respect to the subject matter contained herein or and therein and supersedes any prior there are no agreements, understandings, restrictions, representations, or warranties among the Optionee and the Participating Company Group with respect to such subject matter other than those as set forth or provided for herein or therein. To the extent contemplated herein or therein, the provisions of the Notice and the Option Agreement shall survive any exercise of the Option and shall remain in full force and effect.

The Grant Notice, this Option Agreement and the Plan shall constitute the entire understanding and agreement of the Optionee Participant and the Participating Company Group with respect to the subject matter contained herein or therein and supersedes supersede any prior agreements, understandings, restrictions, representations, or warranties among the Optionee Participant and the Participating Company Group with respect to such subject matter other than those as set forth or provided for herein or thereinmatter. To the extent contemplated herein or thereinherein, the provisions of the Notice and Grant Notice, the Option Agreement and the Plan shall survive any exercise of the Option and shall remain in full force and effect.

Integrated Agreement. The Notice, this This Option Agreement and the Plan constitute the entire understanding and agreement of between the Optionee and the Participating Company Group with respect to the subject matter contained herein or therein and supersedes supercedes any prior agreements, understandings, restrictions, representations, or warranties among the Optionee and the Participating Company Group with respect to such subject matter other than those except as set forth or provided for herein or thereinherein. To the extent contemplated herein or thereinherein, the provisions of the Notice and the this Option Agreement shall survive any exercise of the this Option and shall remain in full force and effect.

Any capitalized terms not defined herein shall have the meaning set forth in the Plan.

The Notice, this Option Agreement and the Plan Plan, together with any employment, service or other agreement with the Participant and a Participating Company referring to the Option, will constitute the entire understanding and agreement of the Optionee Participant and the Participating Company Group with respect to the subject matter contained herein or therein and supersedes any prior agreements, understandings, restrictions, representations, or warranties among the Optionee Participant and the Participating Company Group with respect to such subject matter other than those as set forth or provided for herein or therein. To the extent contemplated herein or therein, the provisions of the Notice and the Option Agreement shall survive any exercise of the Option and shall remain in full force and effect.

The Notice, this Option Agreement Agreement, and the Plan Plan, together with any employment, service, or other agreement with the Participant and a Participating Company referring to the Option, will constitute the entire understanding and agreement of the Optionee Participant and the Participating Company Group with respect to the subject matter contained herein or therein and supersedes any prior agreements, understandings, restrictions, representations, or warranties among the Optionee Participant and the Participating Company Group with respect to such subject matter other than those as set forth or provided for herein or therein. To the extent contemplated herein or therein, the provisions of the Notice and the Option Agreement shall survive any exercise of the Option and shall remain in full force and effect.

The Notice, and this Option Agreement and the Plan constitute the entire understanding and agreement of the Optionee and the Participating Company Group with respect to the subject matter contained herein or therein and supersedes any prior agreements, understandings, restrictions, representations, or warranties among the Optionee and the Participating Company Group with respect to such subject matter other than those as set forth or provided for herein or therein. To the extent contemplated herein or therein, the provisions of the Notice and the Option Agreement shall survive any exercise of the Option and shall remain in full force and effect.

Integrated Agreement. The Notice, this This Option Agreement and the Plan constitute the entire understanding and agreement of the Optionee and the Participating Company Group Corporation with respect to the subject matter contained herein or therein and supersedes any prior therein, and there are no agreements, understandings, restrictions, representations, or warranties among the Optionee and the Participating Company Group with respect to such subject matter Corporation other than those as set forth or provided for herein or and therein. To the extent contemplated herein or and therein, the provisions of the Notice Option Agreement and the Option Agreement Plan shall survive any exercise of the Option and shall remain in full force and effect.

Integrated Agreement. The Notice, this Option This Agreement and the Plan constitute the entire understanding and agreement of the Optionee Option Holder and the Participating Company Group with respect to the subject matter contained herein or therein and supersedes any prior therein, and there are no agreements, understandings, restrictions, representations, or warranties among the Optionee Option Holder and the Participating Company Group with respect to such subject matter other than those as set forth or provided for herein or and therein. To the extent contemplated herein or and therein, the provisions of the Notice this Agreement and the Option Agreement Plan shall survive any exercise of the Option and shall remain in full force and effect.

Integrated Agreement. The Notice, this This Option Agreement and the Plan constitute the entire understanding and agreement of the Optionee Option Grantee and the Participating Company Group with respect to the subject matter contained herein or therein therein, and supersedes any prior there are no other agreements, understandings, restrictions, representationsreorientations, or warranties among as amongst the Optionee Option Grantee and the Participating Company Group with respect to such subject matter other than those as are expressly set forth or provided for herein or therein. To the extent contemplated herein or therein, the provisions of the Notice Plan and the this Option Agreement shall survive any exercise of the Employee Stock Option and shall remain in full force and effect.

Integrated Agreement. The Notice, this Option Agreement and the Plan constitute the entire understanding and agreement of the Optionee and the Participating Company Group with respect to the subject matter contained herein or therein and supersedes any prior agreements, understandings, restrictions, representations, or warranties among the Optionee and the Participating Company Group with respect to such subject matter other than those as set forth or provided for herein or therein. To the extent contemplated herein or therein, the provisions of the Notice and the Option Agreement shall survive any exercise of the Option and shall remain in full force and effect.,

The Notice, this Option Agreement and the Plan shall constitute the entire understanding and agreement of the Optionee Participant and the Participating Company Group with respect to the subject matter contained herein or therein and supersedes supersede any prior agreements, understandings, restrictions, representations, or warranties among the Optionee Participant and the Participating Company Group with respect to such subject matter other than those as set forth or provided for herein or thereinmatter. To the extent contemplated herein or thereinherein, the provisions of the Notice and Notice, the Option Agreement and the Plan shall survive any exercise of the Option and shall remain in full force and effect.

Integrated Agreement. The Grant Notice, this Option Agreement and the Plan shall constitute the entire understanding and agreement of the Optionee Participant and the 11 Participating Company Group with respect to the subject matter contained herein or therein and supersedes supersede any prior agreements, understandings, restrictions, representations, or warranties among the Optionee Participant and the Participating Company Group with respect to such subject matter other than those as set forth or provided for herein or thereinmatter. To the extent contemplated herein or thereinherein, the provisions of the Notice and Grant Notice, the Option Agreement and the Plan shall survive any exercise of the Option and shall remain in full force and effect.

Integrated Agreement. The Notice, this This Option Agreement and the Plan constitute the entire understanding and agreement of the Optionee and the Participating Company Group with respect to the subject matter contained herein or therein and supersedes any prior there are no agreements, understandings, restrictions, representations, or warranties among the Optionee and the Participating Company Group with respect to such subject matter other than those as set forth or provided for herein or therein. To the extent contemplated herein or therein, the provisions of the Notice and the this Option Agreement shall survive any exercise of the Option and shall remain in full force and effect.

The Notice, this This Option Agreement and the Plan constitute the entire understanding and agreement of the Optionee and the Participating Company Group with respect to the subject matter contained herein or and therein and supersedes any prior agreements, understandings, restrictions, representations, or warranties among the Optionee and the Participating Company Group with respect to such subject matter other than those as set forth or provided for herein or therein. To the extent contemplated herein or therein, the provisions of the Notice and the this Option Agreement shall survive any exercise of the Option and shall remain in full force and effect.

Integrated Agreement. The Notice, Plan is incorporated herein by reference. The Plan and this Option Agreement and the Plan constitute the entire understanding and agreement of the Optionee and the Participating Company Group parties with respect to the subject matter contained herein or therein hereof and supersedes any supersede in their entirety all prior agreements, understandings, restrictions, representations, or warranties among undertakings and agreements of the Company and Optionee and the Participating Company Group with respect to such the subject matter other than those as set forth or provided for herein or thereinhereof, and may not be modified adversely to the Optionee’s interest except by means of a writing signed by the Company and Optionee. To the extent contemplated herein or thereinherein, the provisions of the Notice and the this Option Agreement shall survive any exercise of the this Option and shall remain in full force and effect.
