Insufficient Funds for Payments. If the Transfer Agent does not receive sufficient cash from the Custodian to make total dividend and/or distribution payments to all Shareholders of the Fund as of the record date, the Transfer Agent will, upon notifying the Fund, withhold payment to all Shareholders of record as of the record date until such sufficient cash is provided to the Transfer Agent.

C-6 o Issue and mail replacement checks. o Open new accounts and maintain records of exchanges between accounts C. DIVIDEND ACTIVITY o Calculate and process Share dividends and distributions as instructed by the Fund. o Compute, prepare and mail all necessary reports to Shareholders or various authorities as requested by the Fund.
