Instructions to the Parallel Debt Agent. 27.4.1. The Borrower instructs the Parallel Debt Agent to act in accordance with the instructions of the Security Agent until the Final Maturity Date, following which the Mining Titles Security shall be released by the Parallel Debt Agent and the role of the Parallel Debt Agent under this Agreement shall terminate. 27.4.2. A Parallel Debt Agent in exercising any right, power, authority or discretion vested in it as Parallel Debt Agent under this Agreement shall not be liable for any act (or omission) if it acts on any instructions given by the Borrower or the Security Agent in accordance with this Agreement or the Mining Titles Security. In the absence of instructions, the Parallel Debt Agent may act or refrain from acting as it considers to be in the best interests of all the Secured Parties for which it acts. 27.4.3. A Parallel Debt Agent may assume that, unless it has received notice to the contrary, any right, power, authority or discretion vested in any Party has not been exercised.
