Installation and Commissioning. Regardless of subcontracting arrangements, the Contractor shall be responsible for installation and commissioning of the Project, which shall include interconnection of the system with the transmission, sub-transmission or distribution grid, as applicable. Installations must comply with all manufacturers’ installation requirements, applicable laws, regulations, codes, licensing, and permit requirements, and the applicable requirements of the Bulk Energy Storage Incentive Program Manual in effect at the time of NYSERDA’s issuance of an award letter for the Project.

Installation and Commissioning. 9.1 The Buyer is responsible for the installation of the Equipment. The installation will be performed by the Buyer in accordance with the guidelines and procedures of the Supplier. 9.2 Following installation, if so contractually agreed, the Equipment shall be checked and started up in accordance with the Supplier’s guidelines and procedures (“Commissioning”). Commissioning does not construe responsibility to the Supplier for the defects of the installation performed by the Buyer. The Supplier reserves the right to stop, re-start and re-perform the Commissioning. In no case will the Buyer commence or carry out the Commissioning without the involvement of the Supplier as contractually agreed. 9.3 If services outside the Supply under the Contract are required, or if the Services supplied under the Contract are performed outside Normal Working Time, the Supplier is entitled to charge the Buyer in accordance with the Supplier’s price list in force at the time of their performance. (b) You must ensure that all necessary cabling is available, has been installed by a registered cabling provider and meets any applicable technical specifications determined by ACMA. (c) We will install or commission the Services and Equipment at the Site unless your Order Form states that you will install or commission the Services and Equipment yourself. (d) You acknowledge that any installation or service start date specified on your Order Form is an estimate only and subject to our ACL Liability, we will have no liability to you for any failure to commence providing a Service by the estimated installation or service start date. You are responsible for all costs of delivery and installation (as specified in the relevant Service Schedule or Order Form) and for preparing the Site for installation. Our costs of installation may vary from the quotation provided in your Order Form once we have physically inspected the Site. (e) If requested by us, you will execute an acknowledgement of delivery of Equipment in an acceptable form. (f) You must provide us or our Suppliers with reasonable access to the Site to install Equipment, in accordance with clause 7.2.

If Commissioning has not started within eighteen (18) months after Delivery due to reasons attributable to the Customer, any claims of the Customer against the Supplier in this respect will be deemed to be waived and absolutely time barred upon the expiry of nineteen (19) months from the date of Delivery. 9.4 The Customer will, at no charge, provide the Supplier with all assistance required, including, but not limited to, the provision of suitable labour, tools, other implements required, adequate hoisting gear including operating staff, scaffolding, as well as cleaning, packing and lubricant materials, health and safety equipment and any consumables required. This also applies to any work carried out in connection with any modifications or technical changes during Delivery, installation or Commissioning of the Equipment. Furthermore, the Customer shall, at no charge, supply heating, lighting, water and electricity connections in sufficient capacity and quantity as well as welding gas and other working requirements. The equipment made available by the Customer will be in full working order and in compliance with relevant health and safety regulations as further set out in the health safety and environment (HSE) matrix attached as an appendix to the Contract, if any. 9.5 On completion of Commissioning, the Supplier will issue a certificate for the completion of commissioning (“Commissioning Certificate”). Installation and Commissioning. 5.1 As soon as practicable following Your order, We will contact You using Your Contact Details to arrange delivery of the Products. 5.2 If stated in the Proposal, Telequip must install and commission the Hardware or Software at the Customer's premises nominated in the Proposal. 5.3 The Customer must provide Telequip with all assistance reasonably requested by Telequip in respect of the installation and commissioning of the Supplies, including: (a) giving Telequip access to the premises and equipment in respect of which the Supplies will be installed and commissioned; and (b) ensuring that the premises and the technology environment conform with any requirements notified by Telequip. 5.4 You acknowledge that Telequip may charge a delivery fee if You require Us to deliver a Product to you. Such fee will be advised to You prior to delivery taking place. 5.5 Upon completion of the installation and commissioning of the System Configuration the Customer must sign the Acceptance Certificate. 5.6 If the Customer disrupts the works, by not being available on the scheduled day, or cancels installation/service within 24 hours of the scheduled time, or informs Telequip that some element is ready when it is not, then any additional time and /or any additional labour or visits required as a result will be billable at Telequip’s standard list price and for equipment a re-stocking fee will be applied at Telequip’s discretion where equipment has already been ordered.

Installation and Commissioning. 6.1 Supplier shall install the Equipment, perform its standard test procedures and prepare the Equipment for Commissioning, all on or before the ordered Commissioning date and Supplier shall certify to SWCO that such Equipment is ready for the Commissioning. There shall be no installation or Commissioning charges associated with any Equipment except those charges that are listed in the Order. Supplier shall remove and dispose of all packing materials and other surplus materials upon completion of the installation.
