Innovex. Inc. shall use the information for the above-stated purpose only and shall not disclose the information or any part thereof to any other person, firm or corporation, and shall, further, restrict circulation of the information within its own organization except to the extent necessary to fulfill the above-stated purpose. The obligations of this Paragraph (2) shall not apply to the extent that any of the information (a) is or becomes part of the public domain through no fault of Innovex, Inc., (b) is rightfully known to Innovex, Inc. prior to the disclosure by ADFlex, as established by written records, (c) is subsequently rightfully received by Innovex, Inc. from a third party, and (d) can be shown by written documentation to have been developed independently of ADFlex's information.

Innovex and Vivus agree to undertake all of their respective obligations under this Agreement in conformance with generally accepted business standards, and in material conformance with all applicable local, state and federal laws and regulations, as amended, including employment laws, tax laws, and the Federal Equal Employment Opportunity Act, the Fair Labor Standards Act, the Food Drug and Cosmetics Act and the Prescription Drug Marketing Act.
Innovex. ISS and Scios shall each, at its own cost and expense, obtain and maintain in full force and effect, the following insurance during the Term (and any subsequent renewals thereof) sufficient insurance to insure its obligations under this Agreement, including, but not limited to: (i) worker's compensation insurance in accordance with the statutory requirements of each state in which the Services are to be performed (not required for Scios); (ii) employer's liability insurance with a minimum limit of [*****]; (iii) comprehensive general liability insurance, including contractual liability, with a minimum limit of [*****], combined single limit per occurrence; and (iv) comprehensive auto liability, covering bodily injury and property damage, for owned, hired or non-owned automobiles with a minimum limit of [*****], combined single limit per occurrence (not required for Scios); and (v) professional errors and omissions, with a minimum limit of [*****] per occurrence (not required by Scios). Scios shall also maintain Product Liability Coverage (including coverage for clinical trials) with a minimum limit of [*****] each occurrence / annual aggregate, with an insurance company maintaining an A. M. Best rating of A X or better. Upon request, each of Innovex and Scios shall provide the other with an original signed certificate of insurance evidencing all coverage herein required and showing the other as an additional insured under such insurance, within thirty (30) days after such request. The certificate must provide that thirty (30) days prior written notice of cancellation, non-renewal or material change in insurance coverage will be provided. Innovex and Kos warrant and represent to the other that they have the full right and authority to enter into this Master Agreement and that there is no impediment that would inhibit their ability to perform their respective obligations under this Master Agreement or the Work Order.

Intermediate care services include the following: • Partial Hospital Program (PHP) – PHPs are structured and medically supervised day, evening, or nighttime treatment programs providing individualized treatment plans. A PHP typically runs for five hours a day, five days per week. • Intensive Outpatient Program (IOP) – An IOP provides substantial clinical support for patients who are either in transition from a higher level of care or at risk for admission to a higher level of care. An IOP typically runs for three hours per day, three days per week.

  • Diagnostic Services Procedures ordered by a recognized Provider because of specific symptoms to diagnose a specific condition or disease. Some examples include, but are not limited to:

  • Medical Services Plan 10.1.1 Regular Full-Time and Temporary Full-Time Employees shall be entitled to be covered under the Medical Services Plan commencing the first day of the calendar month following the date of employment.

  • Cornerstone shall notify the LLC and confirm such advice in writing (i) when the filing of any post-effective amendment to the Registration Statement or supplement to the Prospectus is required, when the same is filed and, in the case of the Registration Statement and any post-effective amendment, when the same becomes effective, (ii) of any request by the Securities and Exchange Commission for any amendment of or supplement to the Registration Statement or the Prospectus or for additional information and (iii) of the entry of any stop order suspending the effectiveness of the Registration Statement or the initiation or threatening of any proceedings for that purpose, and, if such stop order shall be entered, Cornerstone shall use its best efforts promptly to obtain the lifting thereof.

  • Surgical Services All necessary procedures for extractions and other surgical procedures normally performed by a dentist.

  • Chiropractic Services This plan covers chiropractic visits up to the benefit limit shown in the Summary of Medical Benefits. The benefit limit applies to any visit for the purposes of chiropractic treatment or diagnosis.
