Initial Term; Lease Term Commencement Date. The Term of the Lease shall be five (5) years (the “Initial Term”). The Lease Term Commencement Date shall be determined as follows: (a) Tenant shall have the right to occupy the Premises for seven (7) months Rent-free (the “Free Rent Period”); provided, however, that all other terms and conditions of the Lease shall apply. (b) Subject to Section 2.2, the Term of the Lease shall commence on the earliest of the following (which may be earlier than February 1, 2011): (i) The day following the date Landlord delivers to Tenant a factually correct written notice stating that the Premises are Ready for Occupancy (as defined in the Work Letter); (ii) The day following the date Landlord delivers to Tenant a factually correct written notice stating the date the Premises would have been Ready for Occupancy had there been no Tenant Delay (as defined in the Work Letter ); (iii) The date upon which Tenant actually commences to do business in the Premises with Landlord’s written consent.
