Initial Purchasers' Information. The parties hereto acknowledge and agree that, for all purposes of this Agreement, the Initial Purchasers’ Information consists solely of the following information in the Time of Sale Information or the Final Offering Memorandum: the statements in the third paragraph, the fourth and fifth sentences of the thirteenth paragraph and the fifteenth paragraph under “Plan of Distribution” in the Final Offering Memorandum.
Initial Purchasers' Information. The parties hereto acknowledge and agree that, for all purposes of this Agreement, the Initial Purchaser's Information consists solely of the following information in the Offering Memorandum: (i) the last paragraph on the front cover page concerning the terms of the offering by the Initial Purchaser; (ii) the legend on the inside front cover page concerning over-allotment and trading activities by the Initial Purchaser; and (iii) the statements concerning the Initial Purchaser contained in the fifth and sixth paragraphs under the heading "Plan of Distribution."
Initial Purchasers' Information. The parties hereto acknowledge and agree that, for all purposes of this Agreement, the Initial Purchasers' Information consists solely of the following information in the Preliminary Offering Memorandum and the Offering Memorandum: (i) the last paragraph on the front cover page concerning the terms of the offering by the Initial Purchasers; (ii) the legend on the inside front cover page concerning over-allotment and trading activities by the Initial Purchasers; and (iii) the statements concerning the Initial Purchasers contained in the second sentence of the ninth paragraph, and in the last two paragraphs under the heading "Plan of Distribution".
Initial Purchasers' Information. The Company, the Co-Issuer and the Initial Purchasers severally acknowledge that the statements with respect to the delivery of the Original Notes to the Initial Purchasers set forth in the first sentence of the fourth paragraph, the first sentence of the sixth paragraph, the seventh paragraph and the eight paragraph under the caption "Plan of distribution" in the Preliminary Offering Memorandum and the Offering Memorandum constitute the only information furnished in writing by any Initial Purchaser expressly for use in the Preliminary Offering Memorandum or the Offering Memorandum.
Initial Purchasers' Information. The parties hereto acknowledge and agree that for all purposes of this Agreement (including, but not limited to, Section 1(a), Section 8 and Section 9) the Initial Purchaser's Information consists solely of the following information in the Preliminary Offering Memorandum and the Final Offering Memorandum: (i) the last paragraph on the front cover page concerning the terms of the offering by the Initial Purchaser; (ii) the first paragraph on page "i" concerning stabilization activities by the Initial Purchaser; and (iii) the statements concerning the Initial Purchaser contained in the third paragraph, the third and fourth sentences in the fourth paragraph, the seventh and eighth paragraphs and the first sentence of the ninth paragraph under the heading "Plan of Distribution."
Initial Purchasers' Information. The Issuers and the Initial Purchaser acknowledge and agree for all purposes under this Agreement that the statements with respect to the offering of the Notes set forth in the stabilization language in the first paragraph of page (i); and the first sentence of the third paragraph, the fourth sentence of the sixth paragraph and the eighth paragraph under the caption "Plan of Distribution" in such Offering Memorandum constitute the only information furnished to the Issuers in writing by the Initial Purchaser expressly for use in the Offering Memorandum.
Initial Purchasers' Information. The Company acknowledges that the statements with respect to the offering of the Units set forth in the first sentence of the last paragraph of text on the cover page, the last paragraph appearing on page iv of the Offering Memorandum and the sixth paragraph under the caption "Plan of Distribution" in the Offering Memorandum constitute the only information relating to any of the Initial Purchasers furnished to the Company in writing by or on behalf of any of the Initial Purchasers expressly for use in the Offering Memorandum.
Initial Purchasers' Information. The parties hereto acknowledge and agree that, for all purposes of this Agreement, the Initial Purchasers’ Information consists solely of the following information in the Preliminary Offering Circular and the Final Offering Circular: the last sentence on the cover page, the second sentence of the 10th paragraph (regarding the intention to make a market for the Securities) under “Plan of distribution” and the 11th paragraph (regarding over-allotment and stabilizing transactions) under “Plan of distribution”.
Initial Purchasers' Information. The Company and the Initial Purchasers severally acknowledge that, for all purposes (including Sections 5(a)(i) and 6), the statements set forth in the fifth, fifteenth and eighteenth paragraphs under “Private Placement” in the Preliminary Offering Memorandum and the Final Offering Memorandum constitute the only information furnished in writing by or behalf of any Initial Purchaser expressly for use in the Pricing Disclosure Package or the Final Offering Memorandum.
Initial Purchasers' Information. The Company and the Guarantors acknowledge that the statements with respect to the offering of the Notes set forth in the last paragraph of the cover page, the first sentence of the third paragraph, the sixth sentence of the fourth paragraph and the fifth paragraph under the caption "Plan of Distribution" in such Offering Memorandum constitute the only information furnished in writing by the Initial Purchasers expressly for use in the Offering Memorandum.
