Common use of Initial Officers Clause in Contracts

Initial Officers. The Manager hereby appoints, and a Super-Majority of the Management Committee hereby approves, the following officers of the Company, who shall be subject to removal as provided in this Section 6.12: (i) Xxx Xxxxxxx, Chief Executive Officer, (ii) Xxxxxxx Xxxxx, Secretary, (iii) Xxx Xxxxxxx, Treasurer, and (iv) Xxxxx Xxxxxxxxxx, Vice President-Technical Services. So long as Xxx Xxxxxxx and Xxxxx Xxxxxxxxxx are acting in their capacities as Chief Executive Officer and Vice President--Technical Services of the Company, respectively, each of them shall devote fifty percent (50%) of their working time to the Company and its Subsidiaries, and the balance of their working time will be devoted to NutraCea affairs. Xxxxxxx Xxxxx and Xxx Xxxxxxx also shall be part-time employees of the Company and its Subsidiaries, and the balance of their working time will be devoted to NutraCea affairs. Unless otherwise approved by a Super-Majority of the Management Committee (or, following an Event of Default, unless approved by the Management Committee acting in accordance with Section 6.2.2), all other officers of the Company shall devote 100% of their working time to the Company and its Subsidiaries.
