Upon Broker/Dealer’s request, ADI will furnish Broker/Dealer with a reasonable number of copies of a Fund’s then-current Prospectus(es) and/or SAIs (including any supplements thereto).

(a) No person is authorized to make any representations concerning the Funds or the Interests except those contained in the Funds’ Offering Memorandum, subscription agreement, Limited Partnership Agreement, investor certification, and supplemental sales literature, explanatory materials and additional written information supplied by the Funds or Salient Capital (collectively, “Offering Materials”). Upon Broker/Dealer’s request, Salient Capital will arrange for the Funds to furnish Broker/Dealer with a reasonable number of copies of the Company’s Offering Materials. Within a reasonable time prior to making an investment decision, Broker/Dealer will deliver complete, current versions of the Offering Materials to prospective investors in the Funds hereunder.

Upon SRS’s request, a Fund will furnish SRS with a reasonable number of copies of such Fund’s then-current Prospectus and/or SAIs (including any Supplements thereto).

(a) You and your agents shall not make representations concerning a Fund or Shares except those contained in a Fund’s then-current Prospectus, SAI or sales literature furnished by us or the Funds, or our designees, to you, and in then-current sales literature created by you and submitted to and approved in writing by us or the Funds prior to use; provided, however, that any such representations made by you shall not be misleading or used in a manner that is misleading or otherwise in violation of any applicable laws, rules, or regulations or interpretation thereof by the appropriate regulatory bodies. Upon your request, we will furnish you with a reasonable number of copies of Prospectuses.
