Information Provided by Company. Any written information provided by the Company to you was and is intended only to describe those aspects of the Company's business and prospects which the Company believes to be material, and were not intended to be a thorough or exhaustive description of the Company’s business and prospects. The Company makes no representation or warranty with respect to the completeness of such information and makes no representation or warranty of any kind with respect to any information provided by any person or entity other than the Company. Some of such information includes projections as to the future performance of the Company, which projections may not be realized, are based on assumptions which may not be correct, and are subject to numerous factors beyond the Company's control. The factors that could cause the Company’s performance, or the timing thereof, to differ from those projections include, but are not limited to, those discussed herein.

Information Provided by Company a. The Company covenants and agrees to provide to the Consultant all information and documentation pertaining to the Company that is reasonably necessary for the Consultant to perform its services hereunder. The Company covenants, represents and warrants to the Consultant that all information and documentation provided herein will be timely, accurate and complete in all respects and covenants and agrees to indemnify and save harmless the Consultant, its officers, directors, agents and employees in respect of any losses or damages, costs or other amounts incurred directly or indirectly as a result of any breach of the aforesaid covenant, representation and warranty.
