Information Materials. 9.1 The Licensee’s Regulatory Materials and Promotional Materials (collectively the “Information Materials”) shall under no circumstance give the impression, either expressly or by implication, that the Financial Product(s) issued in connection with a License granted under this Agreement to the Licensee is/are created, purchased, sold, traded, distributed, marketed and/or promoted by Solactive.
Information Materials. The Borrower Parties will cooperate with the Administrative Agent in connection with the publication of certain materials and/or information provided by or on behalf of any Borrower Party to the Administrative Agent and the Lenders (collectively, “Information Materials”) pursuant to this Agreement and will designate Information Materials (a) that are either available to the public or not material with respect to the Parent and its Subsidiaries or any of their respective securities for purposes of United States federal and state securities laws as “Public Information” and (b) that are not Public Information as “Private Information”.
Information Materials. See §7.1. Intercompany Loan. Each of the loans related to an Unencumbered Pool Property included in the Unencumbered Pool Assets and which is made by Borrower or a Guarantor to a Wholly Owned Subsidiary of Borrower that is structured as a single purpose, bankruptcy remote entity, and which is secured by a first priority mortgage loan on the Unencumbered Pool Property which satisfies the conditions of §7.20 and which such mortgage loans are made pursuant to and are evidenced by Qualifying Intercompany Loan Documents.
Information Materials. The Company will provide each Investor Director with all notices, minutes, consents and other materials, financial or otherwise, that the Company provides to the other members of the Board and the Committees in their capacity as such, at the same time and in the same manner as such notices, minutes, consents and other materials are provided to the Independent Directors. The Investor will (and will cause each Investor Director and Committee Observer to) agree to treat all such information as “Confidential Information” in accordance with Section 3.10.
Information Materials. You agree to provide all information and materials reasonably required to enable IBM to provide the Services. You agree that all information disclosed or to be disclosed to IBM is and will be true, accurate and not misleading in any material respect. IBM will not be liable for any loss, damage or deficiency in the Services arising from inaccurate, incomplete, or otherwise defective information and materials supplied by you.

Information Materials. You agree to provide all information and materials reasonably required to enable Lykke to provide the Services. You agree that all information disclosed or to be disclosed to Xxxxx is and will be true, accurate and not misleading in any material respect. Lykke will not be liable for any loss, damage or deficiency in the Services arising for inaccurate, incomplete, or otherwise defective information and materials supplied by you.
Information Materials. Company shall provide at no cost to Master Representative such Products information, Products samples, marketing materials, manuals, specifications and other marketing and technical documents reasonably requested by Master Representative as necessary to enable Master Representative to perform its obligations under this Agreement. Throughout the term of this Agreement and any extension thereof', Company shall continue to give Master Representative such marketing and technical assistance and Products training as Master Representative may reasonably request.
Information Materials. Such Party shall provide any relevant information materials required due to the merger, and guarantee the truthfulness and completeness of such information materials.
