Information and Advice. 4.4.1 The Investor has carefully reviewed and understands the risks of a purchase of the Shares. In connection with the Investor’s investment in the Company, it has obtained the advice of its own investment advisors, counsel and accountants (the “Advisors”). The Investor and its Advisors have reviewed the Company’s public filings and have been furnished with all materials relating to the Company or the offering of the Shares (the “Offering”) that they have requested. The Investor and its Advisors have been afforded the opportunity to ask questions of the Company concerning the financial and other affairs of the Company and the conditions of the Offering and to obtain any additional information necessary to verify the accuracy of any representations or information set forth with respect to the Shares.
Information and Advice. 5.5.1. Each Lender has carefully reviewed and understands the risks of extending the Loan and of the acquisition of the Conversion Shares and Warrant Shares. In connection with such Lender’s extension of the Loan and, if applicable, investment in the Company, it has obtained the advice of its own investment advisors, counsel and accountants (the “Advisors”). Each Lender and its Advisors have reviewed the Company’s public filings and have been furnished with all materials relating to the Company or the Company Shares that they have requested. The Lender and its Advisors have been afforded the opportunity to ask questions of the Company concerning the financial and other affairs of the Company and to obtain any additional information necessary to verify the accuracy of any representations or information set forth herein.
Information and Advice a) Advice, information and opinion given by any Partner, Employee or Agent of the Company is given without legal responsibility.
Information and Advice. Seller has had complete access to all information it has requested concerning the Company, its business, assets and prospects and is capable of evaluating the merits of this Agreement and any transactions under this Agreement and of forming an informed investment decision relating to its decision to sell the Sale Stock. Seller has obtained the advice of its own legal counsel, accountants and advisors with respect to the matters contained in the Agreement and the transactions contemplated herein.
Information and Advice. Each Seller confirms that he has received or has had full access to all the information he considers necessary or appropriate to make an informed decision with respect to this Agreement and the Consideration Shares received by him hereunder. Each Seller further confirms that he has had an opportunity to ask questions and receive answers from the Purchaser regarding the Purchaser’s business, management and financial affairs and to obtain additional information (to the extent the Purchaser possessed such information or could acquire it without unreasonable effort or expense) necessary to verify any information furnished to such Seller or to which such Seller had access.
Information and Advice. The Seller has carefully reviewed and understands the risks of a purchase of the Shares. In connection with such Seller’s investment in the Issuer, it has obtained the advice of his own investment advisors, counsel and accountants. The Seller and his advisors have been afforded the opportunity to ask questions to the Issuer concerning the terms and conditions of the Shares and to obtain any additional information necessary to verify the accuracy of any representations or information set forth about the Shares.
Information and Advice. The SUPPLIER must provide XXXXXXX with information and expert advice relating to the Supplies and Services covered by the Contract. In this context, it undertakes to make any observations that appear appropriate in accordance with professional standards regarding the Supplies and Services entrusted to it, to report on all matters relating to their performance and to point out any errors, inaccuracies or inconsistencies in the contractual documents.
Information and Advice. Without derogating from the Investor’s right to rely on the representations and warranties of the Company set forth in Section 3 above:

All particulars given by us relating to technical performance dimensions capacity interfaces and specifications of any goods and all illustrations descriptions specifications and drawings are given as accurately as reasonably possible (subject to the provision of such information from our own suppliers) but are approximate only and all such material contained in brochures, catalogues, price lists, and other advertising matter is intended merely to present a general idea of the goods described in them and none of such material shall form part of this agreement. In particular the provision of such description does not render the transaction a sale by description.
Information and Advice. 42A The Company shall ensure that in the provision of Careers Education to pupils each Academy provides impartial advice in accordance with sections 43, 45 and 45A of the Education Xxx 0000 as amended by section 81 of the Education and Skills Xxx 0000. Assessment
