In order to address future parking on these spaces, the Mortgagor and its affiliate entered into a Reciprocal Parking Agreement (“RPA”) which provides for shared parking on these spaces. The RPA is subordinate to an existing mortgage which currently encumbers the adjacent parcel. The Mortgage Loan documents contain a non-recourse carve-out for any losses resulting from a foreclosure on the adjacent parcel which extinguishes the RPA.
