Independent Judgment. Failure of CITY to agree with CONSULTANT’s independent findings, conclusions or recommendations, if the same are called for in this Agreement, on the basis of differences in matters of judgment shall not be construed as a failure on the part of the CONSULTANT to meet the requirements of this Agreement.
Independent Judgment. Each Party represents and declares that in executing this Agreement it is relying solely on its own judgment, knowledge and belief concerning the nature, extent and duration of its rights and claims, and that it has not been influenced to any extent whatsoever in the execution of this Agreement by any representations or statements regarding any matters made by other parties hereto or by any person representing them.
Independent Judgment. Successful Respondent represents, warrants, and covenants that neither Successful Respondent nor any of its Affiliates, nor any employee of either, has accepted or shall accept another DIR contract that would impair the independent judgment of Successful Respondent in the performance of this Agreement.
Independent Judgment. Subject to clause 5.6 below, the Client agrees that the Client shall independently make his own judgments and decisions with respect to each Instruction and/or Transaction.
Independent Judgment. Contractor represents, warrants and covenants that neither Contractor, Contractor’s Personnel, nor any of its Affiliates, nor any employee of either, has accepted or shall accept another AOC contract that would impair the independent judgment of Contractor in the performance of this Agreement.
Independent Judgment. Service Provider represents, warrants and covenants that neither Service Provider nor any of its Affiliates, nor any employee of either, has accepted or shall accept another DIR contract that would impair the independent judgment of Service Provider in the performance of this Agreement.
Independent Judgment. The Parties acknowledge that: (a) they have read this Agreement; (b) they understand the terms and conditions of this Agreement; (c) they have had the opportunity to seek legal counsel and advice; (d) they are of equal bargaining power; and (e) they have relied on their own judgment in entering into this Agreement.
Independent Judgment. ACS represents and warrants to Symetra that neither ACS nor any of its Affiliates has accepted or shall accept another Symetra contract to perform auditing or other services as described in Section 2.9.2 that would impair the independent judgment of ACS in the performance of this Agreement.
Independent Judgment. The Parties hereto agree and pledge that in making this Agreement, they rely on their own respective judgment, belief and knowledge, and advice of their own counsel and financial advisors and not on any representations or statements made by any other Party hereto, or any other Party's officers, agents, representatives or counsel. The Parties acknowledge that the execution hereof is their free act and deed intending to be bound. The Employee acknowledges having been afforded the opportunity to procure independent legal advice in respect of the Employee’s execution, delivery, and performance of this Agreement and that the Employee has procured such advice or voluntarily, and without duress, has elected not to seek such advice.
Independent Judgment. Except where GTJAF solicits the sale of or recommend any Financial Product to the Client, the Client acknowledges and agrees that the Client shall retain full responsibility for all trading decisions in relation to the Account and GTJAF is responsible only for the execution, clearing and carrying out of transactions for the Account in accordance with the Client’s Instruction and does not act as the Client’s investment adviser.
