INDEPENDENT CONTRACTOR LIABILITY. Webb County is associated with Dimmit County only for the purposes and to the extent set forth in this Agreement. With respect to the performance and delivery of services pursuant to this Agreement, Webb County is and shall be an independent contractor and, subject to the terms of the Agreement, shall have the sole right to supervise, manage, operate, control, and direct performance of the details incident to its obligations and duties under this Agreement. Nothing contained within this Agreement shall be deemed or be construed to permit Dimmit County, its agents, servants, or employees in any way to manage, control, direct or instruct in any manner the work, duties or functions pertaining to the maintenance and operation of the Webb County morgue. Nothing contained in the Agreement shall be deemed or be construed to create a partnership or joint venture, to create the relationship of employer-employee or principal-agent, or to otherwise create any liability for Webb County whatsoever with respect to the indebtedness, liabilities, and obligations of Dimmit County or any other party.
INDEPENDENT CONTRACTOR LIABILITY. Contractor is, and shall be at all times, deemed independent and shall be wholly responsible for the manner in which it performs services required by terms of this Agreement. Contractor exclusively assumes responsibility for acts of its employees, associates, and subContractors, if any are authorized herein, as they relate to services to be provided under this Agreement during the course and scope of their employment.
INDEPENDENT CONTRACTOR LIABILITY. CONSULTANT is, and shall be at all times, deemed independent and shall be wholly responsible for the manner in which it performs services required by the terms of this Agreement. CONSULTANT exclusively assumes responsibility for acts of its employees, associates, and subcontractors, if any are authorized herein, as they relate to services to be provided under this Agreement during the course and scope of their employment.
INDEPENDENT CONTRACTOR LIABILITY b. Coverage shall be endorsed to include the following, copies of which shall be provided to BART: i. Inclusion of BART, and any other entity as required by Agreement, and their directors, officers, representatives, agents and employees as additional insureds as respects ongoing and completed services and operations in connection with this Agreement; and ii. Stipulation that the insurance is primary insurance and no insurance or self insurance of BART will be called to contribute to a loss, except for situations related to BART’s maintenance of their real property as well as their actions or inactions pertaining to their responsibilities under this Agreement. iii. Waiver of subrogation in favor of BART, its directors, officers, representatives, agents and employees except for situations related to BART’s maintenance of its real property and situations wherein BART, its directors, officers, representatives, agents and/or employees were negligent or engaged in willful misconduct pertaining to their responsibilities under this Agreement.
INDEPENDENT CONTRACTOR LIABILITY. All liability insurance shall be written on an occurrence basis and shall not be written on a claim-made basis. The liability limits shall be not less than: Business Automobile & Public $1,000,000 combined single limit Liability Insurance for each occurrence

INDEPENDENT CONTRACTOR LIABILITY. Independent Contractor will be responsible for any and all losses, liabilities, damages, injuries, claims, charges and costs, whether tangible or intangible (collectively, the “Losses”), to persons or property that in any way arise out of or relate to the performance of the Services whether performed by Independent Contractor or any other persons/entities under the Independent Contractor’s control or direction, except for those Losses directly arising out of the willful misconduct of the Company. The SFX Companies disclaim liability for damage, loss or theft of the Independent Contractor’s materials and property, whether on-site or in transit to the Event.
