Independent Certifier. [Note: The scope of the Independent Certifier’s role will be dependent on the nature of the Project. As a general concept ARENA will require the IC to confirm payment claims and confirm any Recipient / Superintendent / IC certifications under the Project Documents which are required for withdrawals of Funds. The costs of this review by the IC will be borne by the Recipient.] Prior to Project Financial Close, the parties must enter into the Independent Certifier Agreement. Subject to clause 13.1(c), if the Independent Certifier Agreement is terminated, ARENA and the Recipient must enter into a replacement independent certifier agreement on substantially the same terms as the terminated Independent Certifier Agreement (or such other terms as agreed between the parties acting reasonably) promptly with the replacement independent certifier nominated in writing by the Recipient to ARENA, provided that the nominated replacement: is experienced in the provision of services in the nature of the Services (as defined in the Independent Certifier Agreement); and satisfies ARENA’s probity requirements. ARENA may only reject a replacement independent certifier nominated by the Recipient under clause 13.1(b) if the nominee is not an appropriate person to perform the Services (as defined in the Independent Certifier Agreement) and provided that ARENA gives Notice to the Recipient together with the reasons for its rejection within 5 Business Days of the Recipient’s nomination. If ARENA rejects a replacement independent certifier nominated by the Recipient under clause 13.1(c) the Recipient must nominate an alternative replacement independent certifier under clause 13.1(b). Audit and access Right to conduct audits XXXXX’s nominated representative or the Independent Auditor may conduct audits relevant to the performance of the Recipient’s obligations under this Agreement and in respect of the Project. Audits may be conducted of: the Bank Account; the Assets; the Recipient’s operational practices and procedures as they relate to this Agreement; the accuracy of the Recipient’s invoices and Reports; the Recipient’s compliance with its confidentiality and privacy obligations under this Agreement; the Recipient’s compliance with its risk management and community consultation obligations under this Agreement and its obligations under the WHS Law and the WHS Regulations; Material (including books and records) in the possession of the Recipient relevant to the Project or this Agree...
Independent Certifier. The Independent Certifier’s Deed of Appointment specifies the duties of the Independent Certifier owed to the Authority and the Contractor.
Independent Certifier. At least 180 days prior to the date the Contractor anticipates that the first School will satisfy the Availability Criteria, the Contractor and the Province must jointly retain an Independent Certifier or Independent Certifiers acceptable to both acting reasonably to perform an assessment of each School to determine if the Availability Criteria have been met. Independent Certifier. 25.1 The GRANTING AUTHORITY shall be assisted by the technical service of independent verification in monitoring the performance of the CONTRACT AGREEMENT, applying the KEY PERFORMANCE STANDARDS and the PAYMENT MECHANISM for calculating the EFFECTIVE MONTHLY PAYMENT, the BONUS ON THE ELECTRICITY BILL, the CAPEX EXPANSION PAYMENT, of indemnities, as well as in the monitoring of the execution of the SERVICES AND INVESTMENTS SPECIFICATIONS, SOCIOENVIRONMENTAL SPECIFICATIONS and other obligations undertaken by the CONCESSIONAIRE.
Independent Certifier. 16.1 Project Co shall at its own cost enforce its contractual rights to procure that the Independent Certifier fulfils its duties under the Independent Certifier's Deed of Appointment.
Independent Certifier legal entity, responsible for monitoring the ACTION PLAN in NON-URBANIZED IRREGULAR AREAS and the schedule of investments in dry weather collector, through technical reports and opinions, to be hired by the REGULATORY AGENCY, in accordance with ANNEX V - PROVISIONS FOR HIRING INDEPENDENT VERIFIER AND CERTIFIER, who has sufficient training and no bias for the performance of the duties that are attributed to it and does not have any kind of link with the CONCESSIONAIRE or with companies of its economic group that may compromise its independence and unbiased approach.
