Common use of Indemnification; D&O Insurance Clause in Contracts

Indemnification; D&O Insurance. The Company shall purchase and maintain director and officer liability insurance on such terms and providing such coverage as the Board determines is appropriate from time-to-time, and the Executive shall be covered by such insurance, pursuant to the terms of the applicable plan(s) and policy(ies), to the same extent as similarly situated officers and directors of the Company.

Concurrently with the execution of this Agreement, the Company shall provide Executive with the Company’s standard form of Officer and Director Indemnification Agreement for execution by both parties.
