Common use of Indemnification by UMBFS Clause in Contracts

Indemnification by UMBFS. UMBFS agrees to indemnify and hold harmless the Company, its employees, agents, officers, Directors, affiliates and nominees (“Company Indemnified Parties”) from and against any and all Claims arising out of or in any way relating to UMBFS’ willful misfeasance, bad faith, or negligence in the performance of its duties or from reckless disregard by it of its obligations and duties hereunder;

Indemnification by UMBFS. UMBFS agrees to indemnify and hold harmless the Company, its employees, agents, officers, Directors, affiliates and nominees (“Company Indemnified Parties”) Corporation from and against any and all Claims arising out of or in any way relating to UMBFS’ ' willful misfeasance, bad faith, faith or negligence in the performance of its duties or from reckless disregard by it of its obligations and duties hereunder;under this Agreement.

UMBFS agrees to indemnify and hold harmless the CompanyTrust, its employees, agents, officers, Directorstrustees, affiliates and nominees (“Company Trust Indemnified Parties”) from and against any and all Claims arising out of or in any way relating to UMBFS’ willful misfeasance, bad faith, or negligence in the performance of its duties or from reckless disregard by it of its obligations and duties hereunder;

Indemnification by UMBFS. UMBFS agrees to indemnify and hold harmless the CompanyTrust, its employees, agents, officers, DirectorsTrustees, affiliates and nominees (“Company Trust Indemnified Parties”) from and against any and all Claims arising out of or in any way relating to UMBFS’ willful misfeasance, bad faith, or negligence in the performance of its duties or from reckless disregard by it of its obligations and duties hereunder;.

UMBFS agrees to indemnify and hold harmless the CompanyTrust, its employees, agents, officers, Directors, affiliates officers and nominees (“Company Indemnified Parties”) trustees from and against any and all Claims arising out of or in any way relating to UMBFS’ willful misfeasance, bad faith, faith or negligence in the performance of its duties or from reckless disregard by it of its obligations and duties hereunder;under this Agreement.
