Indemnification by the Munzee Owners Sample Clauses

Indemnification by the Munzee Owners. The Munzee Owners agree jointly and severally, to indemnify, defend and hold harmless Buyer and its affiliates against any and all claims, demands, losses, costs, expenses, obligations, liabilities and damages, including interest, penalties and reasonable attorney’s fees and costs (“Losses”), incurred by Buyer or any of its affiliates arising, resulting from, or relating to any misrepresentation of a material fact or omission to disclose a material fact made by the Munzee Owners or Seller in this Agreement, in any exhibits to this Agreement or in any other document furnished or to be furnished by Munzee or Sellers under this Agreement, or any breach of, or failure by the Munzee Owners or Seller to perform, any of their representations, warranties, covenants or agreements in this Agreement or in any exhibit or other document furnished or to be furnished by the Munzee Owners or Seller under this Agreement.
