Indemnification and Hold. Harmless In further consideration of being permitted to use the Olivet Nazarene University Recreation Facilities and/or to participate in the Community Life & Recreational Activities, I hereby agree to indemnify, hold harmless, and defend Olivet from any and all liabilities, claims, demands, causes of action, and costs and expenses, including attorneys’ fees, which are asserted against or incurred by Olivet resulting from my use of the Olivet Nazarene University Recreation Facilities and/or my participation in the Student Life & Recreational Activities.
Indemnification and Hold. Harmless of SVBS and Clearing Broker by Customer. Customer hereby agrees to indemnify and hold harmless SVBS and Clearing Broker, and their respective affiliates and their respective directors, officers, agents and employees (each, an "Indemnified Person") against any and all claims, causes of action, liabilities, lawsuits, demands and damages (each, a "Claim") asserted by Creditor or any other party, including without limitation, any and all court costs and reasonable attorney's fees, in any way related to or arising out of or in connection with this Agreement or any action taken or not taken pursuant hereto, including any claims arising as a result of SVBS' and Clearing Broker's adherence (or alleged failure of adherence) to the foregoing instructions including, without limitation, Claims that allegedly result from SVBS' and/or Clearing Broker's ceasing, based on this Agreement, to permit withdrawals of or from the Collateral or resulting from SVBS' and/or Clearing Broker's paying over or delivering all or any part of the Collateral pursuant to the directions of Creditor; provided that no Indemnified Person shall be entitled to be indemnified to the extent that such Claims arise from the Indemnified Person's own gross negligence or willful misconduct. Customer agrees that SVBS and/or Clearing Broker shall not be liable for delays or errors occurring by reason of circumstances beyond the control of SVBS or Clearing Broker, including, without limitation, acts of civil, military, or banking authorities, national emergencies, market disorder, labor difficulties, fire, flood or other catastrophes, acts of God, terrorism, insurrection, war, riots, failure of transportation or equipment, or failure of vendors, communication or power supply. Clearing Broker shall have no responsibility or liability under this Agreement to Customer for any acts or omissions by SVBS, its officers, employees or agents; and SVBS shall have no responsibility or liability under this Agreement to Customer for any acts or omissions by Clearing Broker, its officers, employees or agents.
Indemnification and Hold. Such actions shall include, without limitation, the following: employment, upgrading, demotion, transfer, recruitment advertising, layoff, termination, rates ofpay or other forms ofcompensation and selection oftraining, including apprenticeship. Breach ofthis provision shall constitute a material breach ofthis Contract.
Indemnification and Hold. Harmless I hereby warrant and certify that I am an authorized representative of the organization/individual named above; that I am at least 18 years old; that I am a resident of Normandy Park; and am authorized to sign for a Community Service/Nonprofit group as defined in the Facility Rental Information and Usage Conditions (or an organization that provides recreational services designated by the lead parks administrator as part of the City of Normandy Park’s recreational program.) My statements are true to the best of my knowledge. I agree to be bound by the rules, regulations, policies and procedures of the City of Normandy Park, including any conditions of this request approval. The organization/individual identified in this Facility Rental Agreement shall indemnify, defend and hold harmless the City of Normandy Park, its officers, employees, agents, volunteers and elected officials from and against any and all claims, suits, actions or liabilities for injury or death of any person, or for loss or damage to property, which arises out of the applicant’s use of the facilities or from the conduct of the organization/individual’s business, or from any activity, work or thing done, permitted, or suffered by the organization/individual in or about the facilities listed above except claims, suits or actions occasioned by the sole negligence of the City of Normandy Park. The applicant signing this Agreement will be considered the responsible party in case of damage, theft, or disturbances during the rental period.
Indemnification and Hold. Harmless Each party will be responsible for its own acts or omissions and any and all claims, liabilities, injuries, suits, and demands and expenses of all kinds which may result or arise out of any alleged malfeasance or neglect caused or alleged to be caused by that party, its employees, or representatives in the performance of omission of any act or responsibility of that party under this Agreement. In the event that a claim is made against multiple parties, it is the intent of all parties to cooperate in the defense of said claim and to cause the insurers to do likewise.

Harmless Consultant agrees to defend, indemnify, hold free and harmless the City, its elected officials, officers, agents and employees, at Consultant’s sole expense, from and against any and all claims, actions, suits or other legal proceedings brought against the City, its elected officials, officers, agents and employees arising out of the performance of the professional legal services to be provided by Consultant hereunder including its employees, and/or authorized subcontractors, of the professional legal services work undertaken pursuant to this Agreement. Notwithstanding the foregoing, the Consultant shall not be liable for the defense or indemnification of the City for claims, actions, complaints or suits arising out of the negligent actions or inactions or willful misconduct of the City or any of its elected officials, officers, agents and

Harmless: you agree to indemnify and hold the Town, its officers, agents, and employees harmless from any loss or liability which may result from claims of injury to persons or property from any cause arising out of or during the use and occupancy of the Facility and Grounds by you, and your guests, agents, or employees.
Indemnification and Hold. Harmless Consultant agrees to defend, indemnify, hold free and harmless the City, its elected officials, officers, agents and employees, at Consultant’s sole expense, from and against any and all claims, actions, suits or other legal proceedings brought against the City, its elected officials, officers, agents and employees arising out of the performance of the Consultant, its employees, and/or authorized subcontractors, of the work undertaken pursuant to this Agreement. The defense obligation provided for hereunder shall apply without any advance showing of negligence or wrongdoing by the Consultant, its employees, and/or authorized subcontractors, but shall be required whenever any claim, action, complaint, or suit asserts as its basis the negligence, errors, omissions or misconduct of the Consultant, its employees, and/or authorized subcontractors, and/or whenever any claim, action, complaint or suit asserts liability against the City, its elected officials, officers, agents and employees based upon the work performed by the Consultant, its employees, and/or authorized subcontractors under this Agreement, whether or not the Consultant, its employees, and/or authorized subcontractors are specifically named or otherwise asserted to be liable. Notwithstanding the foregoing, the Consultant shall not be liable for the defense or indemnification of the City for claims, actions, complaints or suits arising out of the sole active negligence or willful misconduct of the City. This provision shall supersede and replace all other indemnity provisions contained either in the City’s specifications or Consultant’s Proposal, which shall be of no force and effect.
Indemnification and Hold. Harmless- I agree to indemnify Keiki Climbers and hold Keiki Climbers harmless from, without limitation, any and all claims, actions, suits, procedures, costs, expenses, damages and liabilities, including attorney’s fees and costs, incurred due to claims brought by any third party as a result of or arising out of the Participant’s involvement in the Activities and to reimburse Keiki Climbers for any such costs, expenses and fees as they are incurred.

Harmless The Company hereby assumes the defense of, and indemnifies and saves harmless the County, the District and each of their respective officers, directors, employees and agents, from and against all actions, damages, claims, losses or expenses of every type and description to which they may be subjected or put, by reason of, or resulting form, the failure by the Company to comply with this Agreement, provided that nothing in this Section 3 shall be understood or construed to mean that the Company agrees to indemnify the County or the District, or any of their respective officers, directors, employees or agents, for any negligent or wrongful acts or omissions to act of the County or the District, or any of their respective officers, directors, employees or agents.
