Common use of Indemnification and Defense Clause in Contracts

Indemnification and Defense. 7 1. The ENGINEER agrees to and shall indemnify and hold harmless the County of Riverside, its Agencies, 8 Districts, Departments and Special Districts, their respective directors, officers, Board of Supervisors, 9 elected and appointed officials, employees, agents and representatives (hereinafter individually and 10 collectively referred to as "Indemnitees") from all liability, including, but not limited to loss, suits, claims, 11 demands, actions, or proceedings caused by any alleged or actual negligence, recklessness, willful 12 misconduct, errors or omissions of ENGINEER, its directors, officers, partners, employees, agents or 13 representatives or any person or organization for whom ENGINEER is responsible, arising out of or from 14 the performance of services under this Agreement. To the extent a loss, suit, claim, demand, action, or 15 proceeding is based on actual or alleged acts or omissions of ENGINEER which are not design 16 professional services, ENGINEER shall indemnify Indemnitees whether or not ENGINEER is negligent.

The ENGINEER CONSULTANT agrees to and shall indemnify and hold harmless the County of Riverside, its 25 Agencies, 8 Districts, Departments and Special Districts, their respective directors, officers, Board of 26 Supervisors, 9 elected and appointed officials, employees, agents and representatives (hereinafter 27 individually and 10 collectively referred to as "Indemnitees") from all liability, including, but not limited to loss, 28 suits, claims, 11 demands, actions, or proceedings caused by any alleged or actual negligence, 29 recklessness, willful 12 misconduct, errors or omissions of ENGINEERCONSULTANT, its directors, officers, partners, 1 employees, agents or 13 representatives or any person or organization for whom ENGINEER CONSULTANT is 2 responsible, arising out of or from 14 the performance of services under this Agreementcontract. To the extent a loss, 3 suit, claim, demand, action, or 15 proceeding is based on actual or alleged acts or omissions of ENGINEER 4 CONSULTANT, which are not design 16 professional services, ENGINEER CONSULTANT shall indemnify Indemnitees 5 whether or not ENGINEER CONSULTANT is negligent.
