We have acted as counsel to the Company, one of the Utility Participants, in connection with the execution and delivery of the Basic Agreements. We participated in reviewing and/or drafting the Agreements. As general [special] counsel to the Company, we are generally familiar with its affairs. [If special counsel is giving the opinion, describe relationship to the Company.] We have reviewed the proceedings taken by the Company in connection with its authorization, execution, and delivery of the Agreements and any documentation supplied by the Company thereunder. We have also examined executed counterparts of the Agreements, have made such other investigation, and have examined such other records and documents, and have made such examination of law and satisfied ourselves as to such other matters as we have deemed relevant and necessary in order to enable us to express the opinions set forth below. Based upon and subject to the foregoing and to the further qualifications in this opinion, we are of the opinion that:
Incumbency and Signature Certificate. A certificate of the Secretary or an Assistant Secretary (or other appropriate official) of the Company certifying the names of the officer or officers of the Company authorized to sign this Agreement and the Notes, together with a sample of the true signature of each such officer.
Incumbency and Signature Certificate. A certificate (dated as of the Closing Date) certifying the names and true signatures of each individual authorized to sign on behalf of TRG (in its individual capacity and in the applicable capacity on behalf of each Borrower);

A certificate (dated as of the date of this Agreement) of the Secretary of the Borrower and the Secretary of Paycenters certifying the names and true signatures of the officers of the Borrower and Paycenters authorized to sign the Loan Documents to which it is a party and the other documents to be delivered by the Borrower or Paycenters under this Agreement.
Incumbency and Signature Certificate. A certificate of the ------------------------------------ Secretary or an Assistant Secretary, dated the same date as the certificate provided pursuant to subclause (1) immediately preceding, certifying the names and true signatures of the officers of Agent authorized to execute this Third Amendment and any other documents to be delivered by Agent pursuant to the Master Agreement or any Security Document.

The Bank shall have received a certificate signed by the secretary or assistant secretary of the Borrower certifying the names of the officers of the Borrower authorized to sign the Revolving Note, Mortgage, this Agreement and all other Loan Documents and/or certificates to be delivered hereunder or in connection herewith, together with true signatures of such representative officers;
Incumbency and Signature Certificate. OF THE BORROWER AND THE RESTRICTED SUBSIDIARIES. A certificate (dated as of the Closing Date) of the Secretary, or the manager, or such other officer (acceptable to the Bank), as the case may be, of the Borrower and of each of the Restricted Subsidiaries certifying the names and true signatures of the Authorized Person(s) of the Borrower and of each of the Restricted Subsidiaries, respectively, authorized to sign the Loan Documents to which it is a party and the other documents to be delivered by the Borrower and the Restricted Subsidiaries under this Agreement;
Incumbency and Signature Certificate. OF THE BORROWER. Certificates (dated as of the date of this Agreement) of the Secretary of the Borrower certifying the names and true signatures of the officers of such Borrower authorized to sign the Loan Documents to which it is a party and the other documents to be delivered by the Borrower under this Agreement;
