INCORPORATION, POWERS. The Zondervan Corporation: (a) is a corporation duly incorporated, validly existing and in good standing under the laws of the State of Michigan and (b) has full corporate power to own, lease, and operate its properties and assets, to conduct its business as that business is currently being conducted, and to consummate the transactions contemplated by this Agreement to be consummated by Client.

INCORPORATION, POWERS. Borrower is a corporation duly incorporated, validly existing, and in good standing under the laws of the State of Delaware. Borrower has all requisite power and authority to own its assets, to operate the business of Borrower as now conducted and proposed to be conducted, to enter into this Loan Agreement and the Loan Documents, and to perform its obligations in this Loan Agreement and the Loan Documents. Borrower is qualified and in good standing in the State of Georgia and each other jurisdiction wherever necessary for the ownership of the assets and properties of Borrower and the operation of the business of Borrower except in jurisdictions where the failure to be qualified and in good standing has not and shall not cause a Material Adverse Change.
