Notwithstanding the foregoing to the contrary, in the event that any exhibit or schedule referred to herein is not attached to the Agreement as of the Effective Date, such exhibit and/or schedule, as applicable, shall be agreed upon and attached hereto on or before December 8, 2006, failing which either Party may elect to terminate this Agreement by providing written notice of such termination to the other Parties hereunder not later than five (5) days thereafter, whereupon the Deposit shall be returned to Purchaser, this Agreement shall be null and void and of no further force or effect, and the Parties shall have no further obligations to the other, except for those obligations or liabilities that expressly survive termination of this Agreement.
