INCONSISTENCY PROVISION. Notwithstanding anything herein to the contrary, in the event of any inconsistency between this Memorandum and the Loan Agreement, the applicable provisions of this Memorandum shall prevail as to the creation, perfection and priority of the Collateral as well as to the remedies available to the Pledgee under Malaysian law in respect of the Collateral created hereunder, and the Loan Agreement shall prevail as to all other matters.
