Common use of Improper and Other Payments Clause in Contracts

Improper and Other Payments. (a) neither the Company, any director, officer, thereof, nor, to the Company's or any Seller's knowledge, any employee, agent or representative of the Company nor any Person acting on behalf of any of them, has made, paid or received any unlawful bribes, kickbacks or other similar payments to or from any Person or Authority, (b) no unlawful contributions have been made, directly or indirectly, to a domestic or foreign political party or candidate by or, to the knowledge of Sellers and the Company, on behalf of, the Company, and (c) no improper foreign payment (as defined in the Foreign Corrupt Practices Act) has been made by or, to the knowledge of Sellers and the Company, on behalf of, the Company.

Except as set forth on SCHEDULE 2.33 hereto, (a) neither the Company, any director, director or officer, thereof, nor, to the Company's or any Seller's knowledge, any employeeemployee (other than an officer or director), agent or representative of the Company nor any Person acting on behalf of any of them, has made, paid or received any unlawful bribes, kickbacks or other similar payments to or from any Person or Authority, (b) no unlawful contributions have been made, directly or indirectly, to a domestic or foreign political party or candidate by or, to the knowledge of Sellers and the Company, or on behalf of, of the Company, and (c) no improper foreign payment (as defined in the Foreign Corrupt Practices Act) has been made by or, to the knowledge of Sellers and the Company, or on behalf of, of the Company.
