Common use of IMEC's Indemnity Clause in Contracts

IMEC's Indemnity. IMEC agrees to indemnify, hold harmless and defend Sunhawk from all claims, defense costs (including reasonable attorneys' fees), judgments and other expenses arising out of or on account of the conversion work which it performs under this Agreement, including without limitation claims of the breach of any covenant or warranty set forth in Section 7.1 above.
