Illegal Acts. No provision of this Indenture or any amendment or supplement hereto shall be deemed to impose any duty or obligation on the Indenture Trustee to do any act in the performance of its duties hereunder or to exercise any right, power, duty or obligation conferred or imposed on it, which under any present or future law shall be unlawful, or which shall be beyond the corporate powers, authorization or qualification of the Indenture Trustee.
Illegal Acts. Irrespective of anything contained herein which could be interpreted to the contrary, no provision of this Agreement or any amendment or supplement hereto shall be deemed to impose any duty or obligation on ASFC to perform any act in the exercise of any right, duty or obligation which under present or future law shall be unlawful, or which shall be beyond the corporate powers, authorization or qualifications of ASFC.
Illegal Acts. The Company shall not require or request that the Executive perform, directly or indirectly, any act of fraud, embezzlement, theft, or other illegal act in connection with the Executive's duties or in the course of the Executive's employment with the Company.
Illegal Acts. To the Knowledge of Seller, none of the Companies has committed any criminal or illegal act which would reasonably be expected to have, individually or in the aggregate, a Companies Material Adverse Effect.
Illegal Acts. Notwithstanding anything else herein contained, the Agents may refrain without liability from doing anything that would or might in its opinion be contrary to any law of any state or jurisdiction (including but not limited to the United States of America or any jurisdiction forming a part of it and England & Wales) or any directive or regulation of any agency of any such state or jurisdiction and may without liability do anything which is, in its opinion, necessary to comply with any such law, directive or regulation.
Illegal Acts. Pursuant to Sec. 13-1-191, N.M.S.A. 1978 (as amended), it shall be unlawful for any Contractor to engage in bribery, offering gratuities with the intent to solicit business, or offering or accepting kickbacks of any kind. All other similar act(s) of bribes, gratuities, and/or kickbacks are likewise prohibited.
Illegal Acts. No illegal acts The Owner will not commit or permit any illegal act on the land or in the house where the Trust could be liable in a civil or criminal proceeding in connection with the illegal act.
Illegal Acts. By signing this Agreement, You certify that You have not committed any illegal acts against the Company, including, but not limited to, fraud, theft or damage to Company property, whether tangible or intangible. In the event that the Company discovers that You have falsely certified that You have not committed any illegal acts against the Company, the Company reserves the right to revoke the retention bonus payments provided for in the Retention Agreement.
Illegal Acts. Within their unit, or on Co-op property, Members must not commit any illegal act or break any agreement with any government authority. This includes breaking any municipal, provincial or federal law, or any by-law or regulation of any other authority, such as the Fire Department.
Illegal Acts. At the option of the Deputy Receiver, effective immediately upon the delivery of written notice to Contractor, if Contractor commits any substantial and Material illegal or fraudulent act in connection with this Agreement.
