I ndependent Contractors. The Parties to this Addendum are independent contractors. None of the provisions of this Addendum are intended to create, nor shall they be interpreted or construed to create, any relationship between Covered Entity and Business Associate other than that of independent contractors. Except as otherwise expressly set forth herein, neither Party hereto, nor any of its representatives, shall be deemed to be the agent, employee or representative of the other Party.
I ndependent Contractors. The Parties to this Agreement are independent contractors. Neither Party is an agent, representative, or partner of the other Party. Neither Party shall have any right, power, or authority to enter into any agreement for, or on behalf of, or incur any obligation or liability of, or to otherwise bind, the other Party. This Agreement shall not be interpreted or construed to create an association, agency, joint venture, or partnership between the Parties or to impose any liability attributable to such a relationship upon either Party. I ndependent Contractors. LCDJFS and A Renewed Mind and their agents and employees, will act in accordance with this MOU in an independent capacity, and not as officers, employees or agents of the other Party.
I ndependent Contractors. LCDJFS and Neighborhood Health Association and their agents and employees, will act in accordance with this MOU in an independent capacity, and not as officers, employees or agents of the other Party.
I ndependent Contractors. Client and Provider are independent contractors. Nothing in this Business Associate Agreement shall create a partnership, agency or fiduciary relationship between them.
I ndependent Contractors. Our relationship with you is that of an independent contractor. Nothing contained in the Agreement will be construed to create any partnership or joint venture between Customer and Bank.
I ndependent Contractors. Covered Entity and Business Associate are independent contractors and this Agreement does not establish any relationship of partnership, joint venture, employment, franchise or agency between the parties. Neither party has the power to bind the other or incur obligations on the other party's behalf without the other party's prior written consent, except as otherwise expressly provided in this Agreement.
I ndependent Contractors. Makro and the Seller are acting hereunder as independent contractors. The Seller will not be considered or deemed to be an agent, employee, joint venture or partner of Makro. The Seller’s personnel will not be considered employees of Makro, will not be entitled to any benefits that Makro grants its employees and will have no authority to act or purport to act on Makro’s behalf. If any federal, state or local government agency, any court or any other applicable entity determines that any such personnel of the Seller is an employee of Makro for any purpose, the Seller will indemnify, defend and hold harmless Makro, its Affiliates, officers, directors, employees and agents from all liabilities, costs and expenses (including, but not limited to, reasonable attorneys’ fees) associated with such determination. The Seller will remain primarily liable for the Seller’s obligations performed by any third party and for any act or omission of any such third party.
I ndependent Contractors. Both parties expressly intend that with regard to the provisions of this Agreement, said parties are independent contractors. Further, it is the express intent of the parties hereto that no agent, servant, contractor, or employee assigned by Business Associate to perform the Business Associate obligations described herein shall be deemed an agent, servant, contractor, or employee of University.
I ndependent Contractors. Nothing in this License Agreement shall create, evidence or imply any agency, partnership or joint venture between the parties. Neither party shall act or describe itself as the agent of the other nor shall it represent that it has any authority to make commitments on the other’s behalf.
