Human Resource Administration. To the extent requested by the PA, for itself or on behalf of a PC, Manager will use reasonable efforts to (i) provide and process all employee record keeping, payroll accounting, including social security and other payroll tax reporting and insurance for all employees of PA or such PC, and for all other persons rendering Telehealth Services on behalf of PA or such PC, and (ii) administer payroll taxes, workers’ compensation insurance, unemployment insurance, group insurance benefits, and any other benefit programs adopted by PA or a PC for its employees.

Human Resource Administration. The employees at each Dealership Sub are provided to Dealership Sub through Lithia Motors Support Services, Inc. (“LMSS”) a wholly owned subsidiary of Lithia. To the extent commercially reasonable, Xxxxxxx and Lithia contemplate maintaining a similar relationship between LMSS and each Newco. Regardless of whether employees will be employed directly by each NewCo, or indirectly through LMSS, LMSS will continue to provide each NewCo with the same administrative services being provided to Dealership Sub. Xxxxxxx and Lithia will negotiate in good faith the specific services Xxxxxxx desires to continue with the understanding that such services may eventually be transferred over to NewCo to administer on its own. Lithia shall cause LMSS to enter into an agreement with NewCo reflecting the terms and conditions of providing said services.

The Company shall use reasonable care in its administration and claims practices with respect to the Policies and in administering and performing its duties under this Agreement and such practices, administration and performance shall (a) conform with Applicable Law; (b) not be fraudulent; and (c) be no less favorable than those used by the Company with respect to other policies of the Company not reinsured by the Reinsurer.

  • Shared Leave Administration A. The calculation of the recipient’s leave value will be in accordance with applicable Office of Financial Management policies, regulations, and procedures. The leave received will be coded as shared leave and be maintained separately from all other leave balances. All paid leave accrued must be used prior to using shared leave when the employee qualifies for shared leave under 13.2 A.1. Accrued vacation leave and paid military leave allowed under RCW 38.40.060 must be used prior to using shared leave for employees qualified under 13.2 A.2. All paid leave, except sick leave, must be used prior to using shared leave when the employee qualifies for shared leave under 13.2 A.3 and 13.2 A.4.

  • Employment and Training Administration The ratio of trainees to journeymen on the job site shall not be greater than permitted under the plan approved by the Employment and Training Administration. Every trainee must be paid at not less than the rate specified in the approved program for the trainee's level of progress, expressed as a percentage of the journeyman hourly rate specified in the applicable wage determination. Trainees shall be paid fringe benefits in accordance with the provisions of the trainee program. If the trainee program does not mention fringe benefits, trainees shall be paid the full amount of fringe benefits listed on the wage determination unless the Administrator of the Wage and Hour Division determines that there is an apprenticeship program associated with the corresponding journeyman wage rate on the wage determination which provides for less than full fringe benefits for apprentices. Any employee listed on the payroll at a trainee rate who is not registered and participating in a training plan approved by the Employment and Training Administration shall be paid not less than the applicable wage rate on the wage determination for the classification of work actually performed. In addition, any trainee performing work on the job site in excess of the ratio permitted under the registered program shall be paid not less than the applicable wage rate on the wage determination for the work actually performed. In the event the Employment and Training Administration withdraws approval of a training program, the contractor will no longer be permitted to utilize trainees at less than the applicable predetermined rate for the work performed until an acceptable program is approved.

  • Loan Administration Borrowings under the Loan shall be as follows:

  • General Administration 13.1 The Managers shall handle and settle all claims arising out of the Management Services hereunder and keep the Owners informed regarding any incident of which the Managers become aware which gives or may give rise to claims or disputes involving third parties.
