Common use of HSR Act Filing Clause in Contracts

HSR Act Filing. The Company shall prepare and file, and -------------- cooperate with each Purchaser so that it may prepare and file, in each case within five Business Days of a request by such Purchaser, notification and report forms in compliance with the HSR Act, and shall otherwise fully comply with the requirements of the HSR Act. The Company shall bear all of its own expenses and all out-of-pocket expenses (including filing fees and reasonable attorneys' fees, charges and expenses) of each Purchaser in connection with any such preparation and filing.
