Common use of Holding Members Harmless Clause in Contracts

Holding Members Harmless. Service Provider hereby agrees that in no event including, but not limited to, non-payment by the Authority or breach of this Agreement, shall Service Provider bill, charge, collect a deposit from, seek remuneration or reimbursement from, or have any recourse against Members or persons acting on their behalf (other than the Authority) for Covered Services, except as otherwise permitted by law. This provision shall not prohibit collection of Copayments, Coinsurance, Deductibles, and non-Covered Services. Service Provider further agrees that: (a) this provision shall survive the termination of this Agreement regardless of the cause giving rise to termination and shall be construed for the benefit of Members, and (b) this provision supersedes any contrary verbal or written agreement now existing or hereafter entered into between Service Provider and Members or persons acting on their behalf.
