Holding Fees. Other than as permitted by the Stockholders Agreement, the aggregate fees (but not including any expense reimbursements) payable to Xxxxx and its affiliates (1) in connection with the consummation of the transactions contemplated by this Agreement, the Merger Agreement and the other agreements contemplated hereby and thereby and (2) in connection with any agreements (including financial advisory agreements) to be entered into between the Company and Xxxxx and its affiliates in connection with the Closing will not exceed the amounts set forth in Section 5.16 of the Merger Agreement.

Holding Fees. The holding fee may be credited against the use fees incurred in an 8-week cycle of use. Per Section 31.E, if Producer fails to pay the holding fee due within the 8-week dealer cycle, all further right of Producer to use the commercial shall cease and terminate, and the principal performer is automatically released from all contractual obligations with respect to the commercial.

Holding Fees. A holding fee will be charged for any childcare spot that is held for more than one week. The current holding fee rate is 35% of your contracted weekly rate. This holding fee rate applies to Maternity Leaves, Teacher’s summer leave of absence and holding a long-term Child Care spot.
