Common use of Historical Information Clause in Contracts

Historical Information. The Borrower hereby represents and warrants that all Information furnished to the Administrative Agent or the Banks by or on behalf of the Borrower or any Subsidiary prior to the Restated Agreement Date in connection with or pursuant to the Loan Documents and the relationships established thereunder, at the time the same was so furnished, but in the case of Information dated as of a prior date, as of such date, (i) in the case of any Information prepared in the ordinary course of business, was complete and correct in the light of the purpose prepared, and, in the case of any Information the preparation of which was requested by any Bank, was complete and correct in all material respects to the extent necessary to give such Bank true and accurate knowledge of the subject matter thereof, (ii) did not contain any untrue statement of a material fact, and (iii) did not omit to state a material fact necessary in order to make the statements contained therein not misleading in the light of the circumstances under which they were made.

Historical Information. The Borrower RBMG hereby represents and warrants that all Information furnished to the Administrative Agent or the Banks by or on behalf of the Borrower or any Subsidiary RBMG prior to the Restated Syndicated Credit Agreement Effective Date in connection with or pursuant to the Loan Documents and the relationships established thereunder, at the time the same was so furnished, but in the case of Information dated as of a prior date, as of such date, (iA) in the case of any Information prepared in the ordinary course of business, was complete and correct in all material respects and in the light of the purpose for which it was prepared, and, in the case of any Information the preparation of which was requested by any Bank, was complete and correct in all material respects to the extent necessary to give such Bank true and accurate knowledge of the subject matter thereof, (iiB) did not contain any untrue statement of a material fact, and (iiiC) did not omit to state a material fact necessary in order to make the statements contained therein not misleading in the light of the circumstances under which they were made.

The Each Borrower hereby represents and warrants that all written Information furnished to the Administrative Agent or the Banks by or on behalf of the such Borrower or any Subsidiary prior to the Restated Agreement Date in connection with or pursuant to the Loan Documents and the relationships established thereunder, at the time the same was so furnished, but in the case of written Information dated as of a prior date, as of such date, (i) in the case of any written Information prepared in the ordinary course of business, was complete and correct in the light of the purpose prepared, and, in the case of any written Information the preparation of which was requested by any Bank, was complete and correct in all material respects to the extent necessary to give such Bank true and accurate knowledge of the subject matter thereof, (ii) did not contain any untrue statement of a material fact, and (iii) did not omit to state a material fact necessary in order to make the statements contained therein (taken as a whole) not misleading in the light of the circumstances under which they were made.

The Borrower hereby represents and warrants that all Information furnished to the Administrative Agent or the Banks Bank by or on behalf of the Borrower or any Subsidiary prior to the Restated Agreement Date in connection with or pursuant to the Loan Documents and the relationships established thereunder, at the time the same was so furnished, but in the case of Information dated as of a prior date, as of such date, (i) in the case of any Information prepared in the ordinary course of business, was complete and correct in the light of the purpose prepared, and, in the case of any Information the preparation of which was requested by any the Bank, was complete and correct in all material respects light of the circumstances under which the Information was given to the extent necessary to give such the Bank true and accurate knowledge of the subject matter thereof, (ii) did not contain any untrue statement of a material factfact in light of the circumstances under which the Information was given, and (iii) did not omit to state a material fact necessary in order to make the statements contained therein not misleading in the light of the circumstances under which they were made.
